Housing finance firms to raise up to Rs 12,000 crore via RMBS in FY26

Housing finance companies are expected to raise Rs10,000-12,000 crore in the current financial year through listed residential mortgage-backed securities, structured by RMBS Development Company Ltd, a National Housing Bank-promoted entity similar to the likes of Freddie Mac and Fannie Mae.
ADVERTISEMENT The fundraising will be done across seven to 10 deals in the current financial year, Sanjay Shukla, managing director of NHB said on Monday. RDCL, which structured one such deal last week, is in talks with a couple of housing finance companies.
RDCL, in which NHB holds the largest stake of 39%, started operations in March 2025. In addition to structuring RMBS deals, RDCL's scope of activities involve providing liquidity support and credit enhancement, among others.
Shukla was speaking at the sidelines of listing of India's first residential mortgage-backed securities (RMBS). This involved LIC Housing Finance raising Rs1,000 crore last week through pass-through certificates (PTC) maturing in 20 years at a 7.26% coupon, payable monthly. PTCs are debt instruments backed by assets like loans, which in this case was the housing loan portfolio originated by LIC Housing.Securitisation of loan pools is a popular method among non-banking finance companies. But what sets this particular transaction apart is that price discovery was done through the bidding process on National Stock Exchange's electronic bidding platform.'When housing finance companies sell (loan portfolios) to banks at a pre-agreed rate, there is no price discovery. In this structure, there will be price discovery. The bidding will take place on the electronic bidding platform,' Shukla said.
ADVERTISEMENT M Nagaraju, secretary – department of financial services, said that under such transactions, the cost of borrowing is expected to come down for housing finance companies, which will be passed on to the end borrower. 'Another major benefit will be to get long-term housing loans at a fixed rate.''Once PTCs are made available to retail investors, investment in this instrument is another option, where they can get monthly inflow,' Nagaraju said.
ADVERTISEMENT In LIC Housing Finance's deal, the PTCs were issued through a special purpose vehicle and are rated AAA(SO) by CRISIL and CARE.Separately, Shukla also said that NHB is planning to raise Rs55,000-Rs60,000 crore through bonds in FY2026 compared with Rs48,000 crore in the previous financial year.

1 2 3 Nagpur: Revenue minister Chandrashekhar Bawankule said the govt is exploring the option of issuing 7/12 document, a crucial document which establishes ownership, for multi-floor properties, rather than just the land it stands on. Such a scheme will benefit residents of buildings which house joint families and have now expanded to multi-generational residents. Such type of buildings are common in tier-2 cities as well as semi-urbanized areas, where sons keep building their houses on higher floors after getting married. Legal feuds over property ownership or share, are also seen in later generations in such properties. Since this is in planning stage only, clarity is awaited whether it will also apply to residential apartments which already have documents like sale deed, establishing ownership of property. Speaking at a public event in Nagpur on Sunday, Bawankule said, "In Maharashtra, we do not have system of issuing 7/12 for vertical buildings. We will soon launch the Vertical 7/12 Yojna in state, so that residents on each of the floors will also get that document." Bawankule mentioned this vertical 7/12 proposal while talking about state govt's Svamitva Yojna (see box). "We have selected some nagar panchayats which are part of this Svamitva Yojna and we plan to complete it within a year," said Bawankule. "There are around 30,000 properties if we look at it horizontally. But the total comes to 45,000 properties if we look at it from a vertical point of view. Technically, we give 7/12 only to the land, but now issue is about the buildings which stand on that land. So we are planning a scheme so that residents on all floors of the building get the (7/12) document," said Bawankule. He added now residents do not have to bear the cost of getting their property measured by revenue department officials. "Earlier, you would have to pay Rs8,000 to get your property mapped by our department," said Bawankule, "but now we have paid the money on your behalf. As revenue minister, I have the responsibility of planning the use of every land parcel in state. And the govt is also responsible for safeguarding your property, that's exactly what we are doing through Svamitva," said Bawankule. He added that CM Devendra Fadnavis has issued directions to start planning for process to give 'Svamitva' in entire Maharashtra. "We will ensure that CM Fadnavis' instructions are followed. And I have instructed my officials that while giving Svamitva for residential property, do not insist for 7/12 from the applicants. Their property tax receipt is more than enough, apart from identity documents like Aadhar etc. For 7/12, we will ask for it when focussing on agricultural land." 'No tiled-roof, get slabs for all houses in Hudkeshwar-Narsala' Talking about a project under a central govt housing scheme, Bawankule directed revenue department officials to ensure that residents in Hudkeshwar and Narsala are covered under this scheme. "I don't want to see a single tiled-roof house in these areas," said Bawankule, speaking to his officials present in the audience, "Under PM Awaas Yojna we have been allotted 20,000 homes. Make a list of how many roofs here are of tin or tiles. And then make sure they get proper slab on their house." He added by December a detailed Development Plan for Hudkeshwar and Narsala will be ready. "We are looking at 2050 and what this area will need then, so rest assured that a lot of development will happen here," said Bawankule.

1 2 3 Pune: The Bavdhan police on Saturday registered a case against a man and his son, hailing from Guntur in Andhra Pradesh, on charges of duping a 33-year-old CEO of an industrial automation and robotics company in the city of Rs3.98 crore. The victim was lured by the promise of high returns on his investments in the share market. Inspector Bhaskar Kadam of the Bavdhan police told TOI, "According to the complainant, the father-son duo were family friends. Initially, they returned Rs1 crore to him and gained his confidence. The duo then duped him by not returning Rs3.98 crore." The economic offences wing (EOW) of Pimpri Chinchwad police is investigating the case. Kadam said that according to the complainant, the duo hail from Guntur district. The complainant's mother and older suspect (father) used to teach together at a college in Nanded district. Their families have known each other since then. "The complainant stated that in Jan 2023, the man contacted them and said he and his son started a financial services firm in Andhra Pradesh. He assured them of good returns on their investments in the stock market through the firm," Kadam said. The officer said the complainant believed them and decided to invest money in stocks through them. Between Jan 2023 and July 2024, the complainant transferred Rs4.98 crore to the suspects to invest in stocks. The complainant did not suspect anything as initially, the duo returned Rs1 crore to him. "The duo used to share details of the investments through fake email IDs posing as a prominent securities and trading firm," the officer said. Kadam said the duo even sent a contact note (record of all transactions through stock brokers on the stock exchange) to the complainant, which later turned out to be fake. When the victim realised that he was being duped, he started asking them to return the money. When he did not get his money back, he approached the police and lodged a complaint. Credit rating firms seek govt intervention over regulatory void on ₹1 L cr unlisted debt

Mumbai: Credit rating companies have sought the intervention of ministries of corporate affairs and finance amid an uncertainty over the future ratings of more ₹1 lakh crore of unlisted securities . The rating of these instruments, like corporate bonds and securitised papers, which comprise an integral part of the financial market for debts, has fallen between the cracks of two regulatory authorities. The ambiguity stems from the fact that the Securities and Exchange Board of India (Sebi), the primary regulator for the credit rating agencies (CRAs), has jurisdiction over only listed securities while unlisted debts raised by corporates, including company fixed deposits, are outside the domain of the Reserve Bank of India (RBI). SEBI had last year told rating firms to get a non-objection certificate from RBI for rating the unlisted papers. Since then, the central bank has allowed CRAs to rate certificates of deposits (CDs) - instruments floated by banks to raise short-term funds. But, there is no clarity on ratings of securitised papers like pass through certificates (PTCs) and unlisted corporate bonds . This is where CRAs want the ministries to step in. Issued against a basket of loans and the interest flows from them, PTCs enable lenders like non-bank finance companies as well as banks to convert relatively illiquid loans into marketable papers and create headroom to lend more while letting investors - like corporate treasuries, financial institutions, and fund houses - hold a diversified pool of assets and sometimes generate a higher return. A predominant portion of the outstanding PTCs are unlisted. Under the circumstances, the CRAs are awaiting a signal from the corporate affairs ministry that they can follow the SEBI guidelines on listed securities while carrying out the rating of unlisted securities. Thus, CRAs want to know whether they can continue to use the same rules of default recognition, application of grading scale, disclosures, and issue of press release for unlisted papers as well. The ministry is yet to respond to the letter from the rating industry body. With New Delhi is yet to give the go-ahead, some of the CRAs, in the course of various meetings, have sensitised issuers of unlisted securities as well as some of the investors that ratings of these instruments may have to be withdrawn in the absence of any clarity from the government or regulators. "More so, with SEBI reminding CRAs a few months ago that the issue needs to be sorted out. This could well be a nudge from SEBI to list more securities and thereby promote transparency. However, many issuers refrain from listing either to avoid the compliance and reporting that come with it or strike bilateral deals with investors and do not feel the urgency to list," said an industry official. Many institutional investors may keep away from unrated securities, including banks who save on capital as unrated loans and investments carry higher risk weights. But while there are takers for unrated instruments, rating helps in investment decision making by capturing the risk and pricing of an instrument. "Some are expecting RBI to clear the air for PTCs which are mostly issued by NBFCs (entities regulated by RBI). If RBI gives a green signal for PTCs, then the issue related to rating of unlisted corporate bonds has to be resolved. Company FDs are a small market," said another official. Earnings from ratings of unlisted papers, said an analyst, is a small slice of CRAs' earnings, but a lack of rating can have some implications for the wholesale debt market. For instance, CRAs' periodic reports on the PTC market are closely tracked by investors. "There are adequate regulations on investments in these unlisted securities but there is not enough regulation about their rating. SEBI understandably wants rating of any instrument to be cleared by some authority. It doesn't want to be blamed for a big loss or default which inevitably raises questions on ratings," said the person. "The market too is evolving. The assets of Alternative investment funds have surged in the last 5 to 6 years and many of these funds put money in unlisted papers," she said. Earlier, CRAs could choose on what it would rate, but those days are long over with the role and rules agencies coming under scrutiny since the IL&FS default in 2018.
