
Listed subsidiaries get the ax in Japan after investor pressure
Japanese conglomerates are scaling back their hundreds of listed subsidiaries, a structure that critics say is often a poor use of capital and raises potential conflicts of interest.
The trend stems from mounting pressure on companies to cater to shareholders in response to activist campaigns, demands from the stock exchange and even hostile takeovers. Japan has 212 so-called parent-child listings, which is down from 285 in 2020, but still more than the 178 in Europe and 59 in the U.S., according to Jefferies Financial Group.
"Japanese companies are becoming more selective about their assets, looking at whether subsidiaries are helping to increase their shareholder value,' said Chizuru Morishita, a researcher at NLI Research Institute. "Activist investors are becoming more powerful.'
NTT, Japan's largest telecom company and a former state monopoly, said on May 8 it will take its data service unit NTT Data Group private. That followed its acquisition of its mobile service arm, NTT Docomo in 2020. The announcement came a day after another former state-owned firm Japan Tobacco said it would sell Torii Pharmaceutical, in which it has 55% stake, to Shionogi & Co.
The wave has reached the country's biggest company by market capitalization, Toyota Motor. Bloomberg reported in late April that the carmaker's founding family has proposed a buyout of Toyota Industries, one of its many subsidiaries.
The model for many investors is Hitachi, once known as having one of the most sprawling networks of subsidiaries in the country. It slashed them to zero in 2022 as it sharpened its business focus, selling many subsidiaries and buying out a few others deemed critical to its core business. The company's stock price has more than tripled since then.
The pattern has strategists identifying companies which they speculate are likely to shed listed subsidiaries. Common names that appear in their lists include Nippon Steel, Sumitomo Chemical and retailer Aeon. David Mitchinson, a senior portfolio manager at U.K.-based Zennor Asset Management, says about 20% of his trades revolve around bets on the unwinding of subsidiary listings.
"We think the pressure from the exchange and shareholders to resolve that kind of governance challenge is very impactful and very positive for the market,' he said.
The Tokyo Stock Exchange, building on its success pushing low-valued companies to focus on measures to boost their market capitalization in 2023, has also taken aim at the issue, calling on companies to explain the benefits of the structure. In response, executives have opted to use capital more efficiently by focusing on their core strength, rather than investing in other firms. Up until now many companies have resorted to share buybacks, which boost earnings per share by reducing the outstanding shares as a quick fix to improve capital efficiency.
"A few years ago, it was seen as an issue to tackle in the next 10 years, but due to pressure from the Tokyo Stock Exchange, the time-line has shortened, and the perception now is more like a five-year horizon,' said Daisuke Uchiyama, Senior Strategist at Okasan Securities.
But some investors are wary of the rising popularity of bets to benefit from potential unwinding of parent-child listing. Yasuo Sakuma, president of Libra Investments, say there aren't as many opportunities as there seems.
"You could buy companies that could be one day bought by their parent but the thing is, you never know when that will happen,' he said, noting the opportunity cost of holding such positions could be a headache.
Nor is the trend only one way. Some tech companies, such as Softbank Group, Rakuten Group and GMO Internet, are seen as likely to continue to use listings of subsidiaries as a way to raise funds. LY, itself a subsidiary of SoftBank Group-led stock holding company, said just this month it plans to list its digital payment unit PayPay. More fundamentally, some investors say it is too simplistic to think parent-child delisting is always positive for minority shareholders.
"It is not clear either whether taking a listed subsidiary private automatically leads to better governance,' said Richard Kaye, co-head of Japan equity strategy at Comgest Asset Management.
The pressure to simplify corporate structures is likely to increase. Nicholas Smith, a strategist at CLSA, thinks companies may be incentivized to buy out subsidiaries earlier rather than later as the TSE is seeking to tighten its rule on management buyouts to protect minority shareholders from July.
"Even though there are considerable concerns about the likely new rules for MBOs and buy-ins, the rules are likely to tighten,' he said. "A cynic would say that this is already causing a scramble to announce MBOs and buy-ins ahead of implementation of stricter rules.'

The North Atlantic Treaty Organization (NATO) is considering proposing its member states raise their defense spending targets from 2% to 5% of GDP. NATO is envisaging a plan to set conventional defense spending, such as weapons purchases, at 3.5% and allocate 1.5% for defense-related expenses, such as the renovation of military roads. The Japanese government is proceeding with a plan to increase its security-related expenditures, including defense spending, from the current level of about 1.8% of the fiscal 2022 GDP to 2% in fiscal 2027. 'It is only common sense for Asia-Pacific allies to move rapidly to step up to match Europe's pace and level of defense spending,' Sean Parnell, chief spokesperson of the U.S. Defense Department, said in a statement, responding to a question by The Yomiuri Shimbun. To counter China and North Korea, Parnell stressed Japan should be in line with '5% of GDP spending on defense' — the target being mulled by NATO member states.

Japan, ROK Expected to Deepen Future-Oriented Cooperation; Nations on Equal Economic Footing, Share Common Challenges
Japan and South Korea marked the 60th anniversary of the normalization of their diplomatic relations on Sunday. The two countries once interacted as an industrialized country and a developing country, but they have now become equal partners, on par with each other in economic terms. They are also facing common challenges, including the drastically changing international situation and populations that are rapidly graying with chronically low birthrates. It will be essential for Japan and South Korea to deepen their future-oriented cooperation while carefully dealing with historical issues that could trigger conflicts. 'There are many fields in which we can cooperate by sharing knowledge. We want to further broaden the areas for Japan-South Korea cooperation and pass the baton of cooperation to future generations,' Prime Minister Shigeru Ishiba said at a ceremony in Tokyo on Thursday to commemorate the 60th anniversary of the normalization of diplomatic ties. Ishiba referred to regional revitalization and measures to address the low birthrate, issues on which he is focusing. The prime minister called on South Korea to work together on issues where the two countries share common interests, apparently in consideration of the fact that South Korea's President Lee Jae-myung, who took office earlier this month, is promoting a pragmatic approach by focusing on practical benefits. South Korea was one of the poorest countries in the world following the Korean War. However, it managed to achieve high economic growth, known as the 'Miracle on the Hangang River,' partly due to the normalization of diplomatic ties with Japan. The Treaty on Basic Relations between Japan and the Republic of Korea and The Agreement on the Settlement of Problems concerning Property and Claims and on Economic Cooperation between Japan and the Republic of Korea were both signed on June 22, 1965. Via these agreements, the two countries acknowledged that the issue of claims between them had been settled, under the premise that Japan would provide South Korea with economic cooperation worth $500 million — about twice the size of South Korea's national budget at that time — establishing the foundation of later Japan-South Korea relations. Currently, the two countries have about the same level of gross domestic product per capita. In the field of semiconductors, Japan has advantages in materials and manufacturing equipment while South Korea has strengths in production, making the two countries increasingly mutually dependent. Japan and South Korea also share the problem of a poor working environment for women, which is considered one of the factors behind the low birthrate in both countries. Japan ranked 118th among 148 countries in the Global Gender Gap Report by the World Economic Forum, while South Korea stood at 101st. 'Complimentary partners' President Lee reportedly expressed a sense of crisis over his country's low birthrate when he met Koichi Aiboshi, a former Japanese ambassador to South Korea, in December 2021. '[South Korea] has spent a considerable amount of budgetary funds on measures to counter the low birthrate, but the situation has failed to see any progress,' Lee reportedly said. He also told Aiboshi that he would like to find out what is done in other countries to use them as references. 'To collaborate with President Lee, who is focusing on the economy, it will be important to explore specific cases for cooperation,' Aiboshi said. In a congratulatory video message for an event held in Seoul on June 16 to mark the anniversary of diplomatic relations, Lee said, 'South Korea and Japan are key partners who must cooperate closely in responding to a rapidly changing global landscape.' In his first summit meeting with Ishiba in Canada later in the week, Lee also said Japan and South Korea are 'complimentary partners.' South Korea experienced a political vacuum for about six months due to the impeachment and removal of former President Yoon Suk Yeol. It is an urgent task for the country to respond to the administration of U.S. President Donald Trump's tariff measures and demand to increase defense spending as well as a military alliance between Russia and North Korea. Like Japan, South Korea relies on energy imports, and stability in the East and South China Seas and the Middle East is directly linked with its economy. According to Japan's Defense Ministry officials, the ministry examined a plan to provide maintenance work in Japan for South Korea's F-35 fighters, as a symbol of improved bilateral ties during the rule of former President Yoon's administration. In the Asia-Pacific region, maintenance bases for F-35 jets are located only in Japan and Australia. South Korea is cautious about defense equipment cooperation with Japan, so it currently has to take its F-35 fighters to Australia for maintenance. Changing public opinion South Korea's political left wing, which supports President Lee's administration, is strict about historical issues and tends to be conciliatory to China and North Korea. Therefore, Japan remains wary of the new administration. However, in an opinion poll conducted by South Korean's Korea JoongAng Ilbo this month regarding the country's diplomatic relations with Japan, 49.6% of respondents sought future-oriented cooperation in such fields as the economy, technology, security and the environment. This exceeds the 31.5% who sought the resolution of historical issues. The groundwork is nearly completed to take cooperation between the two countries to a new level.

South Korea counts on shipbuilding to ease U.S. tariff woes
South Korea, Asia's fourth-largest economy, is facing grueling tariffs by U.S. President Donald Trump, but its shipbuilding industry could prove a useful bargaining chip. Already hit by sector levies on steel and car exports, Seoul is laser-focused on negotiations over a 25% country-specific tariff that has been suspended until July 8 and the key industry could play a role in easing the higher tariffs. Shipbuilding history In the 1970s, South Korea's military leader, President Park Chung-hee, accelerated the country's heavy industry, designating sectors such as steel and shipbuilding "strategically important" and rolling out state subsidies. At the same time, Posco was founded — now one of the world's largest steel producers — and conglomerate Hyundai built its shipyard in southeastern Ulsan, which started to grow rapidly. European rivals struggled to keep pace. Sweden's Kockums Shipyard filed for bankruptcy in 1987 — and in a symbolic shift of global shipbuilding power, Hyundai acquired its 140-meter Goliath crane for $1. It now towers over southern Ulsan. In the 1990s and 2000s, South Korean shipbuilders such as Hyundai Heavy Industries and Samsung Heavy Industries ramped up investment in research and development, backed by generous government subsidies. The country secured a competitive edge in high-value-added vessels, including carriers of liquefied natural gas (LNG), very large crude carriers and offshore platforms. Now, South Korea ranks as the world's second-largest shipbuilding nation, trailing only behind China. Key industry South Korea's exports hit a record high in 2024, with analysts pointing to shipbuilding as one of the key drivers. The sector accounted for nearly 4% of total exports and grew by almost 20% from the previous year — reaching $25.6 billion. Shipbuilding directly employs around 120,000 workers — roughly 1% of the country's total workforce — with indirect employment significantly higher in industrial hubs like Ulsan. Industry data shows so far this year, new orders have exceeded 13 trillion won ($9.4 billion). In March, Hanwha Ocean secured a landmark $1.6 billion contract to build LNG carriers for Taiwan's Evergreen Marine, one of the largest single orders in the sector this year. 'Bargaining chip' Trump has showed "significant interest in South Korea-U.S. shipbuilding cooperation," said South Korea's trade, industry and energy minister Ahn Duk-geun in April. Like the Europeans, the U.S. shipbuilding industry has lagged behind South Korea and China, and as a result, the sector is seen as a "highly important bargaining chip in trade negotiations," he added. At an APEC finance ministers' meeting in South Korea in May, U.S. Trade Representative Jamieson Greer met Chung Ki-sun, vice chairman of HD Hyundai, the country's largest shipbuilder, before he met Seoul's top officials. "South Korea's shipbuilding and defense industries see a window of opportunity," said Kim Dae-jong, a professor at Sejong University. U.S. interest Greer also met with the CEO of Hanwha Ocean, the first non-American company authorized to carry out a dry-dock maintenance of a U.S. Navy vessel. The move last September was seen as significant as it signaled that Washington sees South Korea, where it already has 28,000 U.S. troops stationed, as a strategic defense hub. With worries growing about China's expanding naval fleet and potential conflict in the Taiwan Strait, the U.S. has begun seeking reliable overseas shipyards to support its operations in the Asia-Pacific region. The global market for ship maintenance, repair, and overhaul is projected to exceed $60 billion annually, according to industry estimates. Headwinds Despite multibillion-dollar contracts, data suggests South Korea's shipbuilding industry is losing ground in the global race. China dominates and South Korea's market share is dropping, according to industry data. Demand for eco-friendly vessels is rising, and the government needs to overhaul regulations "to support the development of next-generation eco-friendly vessels," said Rhee Shin-hyung, a professor at Seoul National University. South Korea's aging demographics also make staffing hard. In Geoje — home to Samsung Heavy Industries — the number of residents in their 20s and 30s has nearly halved in recent years. Orders are down in 2025, which hints that "the shipbuilding boom may end sooner than the market anticipated," warned Rhee. Global ship orders between January and April fell by almost half the volume recorded during the same period last year.
