WeightWatchers Files Bankruptcy After Growth in GLP-1 Drugs

(Bloomberg) -- WeightWatchers, known for its diet programs once endorsed by celebrities including Oprah Winfrey, has filed for bankruptcy after struggling to compete with drugs like Ozempic and the rise of TikTok fitness influencers.

The company — which rebranded to WW International Inc. — filed a prepackaged Chapter 11 petition to execute a lender-backed plan that would cut about $1.15 billion in debt from its balance sheet. It expects to complete the reorganization in about 45 days.
WeightWatchers said the restructuring plan will 'significantly reduce' its debt obligations. The proposed restructuring must be approved by a bankruptcy judge.
WeightWatchers tried to ride the weight-loss drugs wave by offering a few on its platform, but found it challenging to convince clients that its programs were still worth their time. The company has also been grappling with annual interest expenses of over $100 million, which has limited its ability to invest in growth initiatives and marketing, according to court filings.
The company has also struggled with the growth of free or low-cost fitness-related social media content and diet-based smartphone apps. WeightWatchers Chief Financial Officer Felicia DellaFortuna said in a court filing that consumers are increasingly 'rejecting traditional weight-loss narratives' and flocking to do-it-yourself weight-loss apps.
The shift has been fueled by influencers who share their personal success stories and offer fitness advice to their followers on Instagram, YouTube and TikTok, DellaFortuna said.
The company is seeking court protection in Delaware after Bloomberg News reported last month that it was preparing to file in the coming weeks following a debt-restructuring agreement with the majority of its lenders.
Prepackaged Plan
Prepackaged bankruptcies generally allow companies to exit Chapter 11 quickly and without disruption to their business or unsecured creditors.
WeightWatchers said the restructuring plan would retain $175 million previously drawn by the company from its revolving credit facility and reduce its annual interest expense by about $50 million. The plan envisages the reorganized company issuing $465 million in new term loans and notes, which will mature five years from the effective date of the restructuring, filings said.

During an earnings call on May 1, McDonald's CEO Chris Kempczinski said that the "impact of inflation and heightened anxiety about the economic outlook" impacted sales during the quarter. "We entered 2025 knowing that it would be a challenging time for the QSR industry due to macroeconomic uncertainty and pressures weighing on the consumer," said Kempczinski. "During the first quarter, geopolitical tensions added to the economic uncertainty and dampened consumer sentiment more than we expected." As McDonald's struggles to attract customers to its restaurants, it has another major problem on its hands that threatens to impact sales. Between June 24 and June 30, the fast-food chain will face a major boycott from customers, which The People's Union USA is organizing. The group previously organized boycotts of Amazon, Walmart, and Target earlier this year. In a recent Instagram post, The People's Union USA founder John Schwarz said that the group is calling for a boycott of McDonald's for five reasons. First, he alleges the fast-food chain pays "less in taxes than the people serving their food." "McDonald's benefits from loopholes and offshore tax havens, allowing them to pay a fraction of what they should," he wrote in the post. "Meanwhile, their minimum wage employees pay more in effective taxes than the billion-dollar corporation they work for." Third, Schwarz claims McDonald's "has a long history of anti-union tactics, silencing employees, and avoiding accountability." "They use franchise loopholes to dodge direct responsibility while lobbying against higher wages and benefits," wrote Schwarz. Fourth, he alleges that McDonald's exploits "global supply chains and environmental loopholes" as its supply chain is connected to "deforestation, poor labor conditions, and unsustainable agricultural practices." Fifth, he said McDonald's likes to "perform DEI for the cameras but fund the opposite." "While McDonald's runs DEI-focused ads, their political donations and lobbying often support candidates and legislation that undermine equity, labor rights, and marginalized communities," he wrote. The People's Union USA has been organizing "economic blackouts" of large corporations since February. So far, it has organized specific weeklong boycotts aimed at Amazon, Walmart, General Mills, and Target. Starbucks, Home Depot, and Lowe's are next on its list. According to the group's website, it aims to "expose corruption and exploitation" and "hold corporations accountable" through these boycotts. Fat Brands has become a shockingly large restaurant operator despite owning numbers brands with names that sound like eateries in a "Simpsons" episode or a Kevin Smith movie. The company started with Fatburger in 2003 before buying the also pretty literally named Buffalo's Cafe in 2011. From the burger and wing chain, it added the iconic (and perhaps outdated) Ponderosa and Bonanza Steakhouse chains in 2017, then added another wings concept, Hurricane Wings and Grill, in 2018. Related: Struggling restaurant chain likely to shut down or be sold Over the next few years the company bought Elevation Burger, Johnny Rockets, and Global Franchise Group which includes many names that don't sound real including Round Table Pizza, Great American Cookies, Marble Slab Creamery, Pretzlemaker, and Hot Dog on a Stick. That last deal gave Fat Brands a massive presence in malls. In 2021, however, the company entered that fast-casual space with purchase of Twin Peaks, a bar and restaurant chain that sort of a classier take on the model pioneered by Hooters. The company also picked up the Smokey Bones barbecue chain in 2023 from Darden Brands and, at the time, it was excited about the deal. The barbecue chain's owner shared some bad news for fans of the casual, sit-down barbecue brand. Fat Brands Chairman Andy Wiederhorn explained that the company often buys brands to use them to enhance a company they already own. "Our recent transactions have been highly strategic, creating multiple avenues for value creation. A prime example is our acquisition of Nestle Toll House Cafe by Chip about three years ago. This transaction was particularly compelling as it allowed us to convert these units to Great American Cookies locations, effectively growing our cookie footprint while simultaneously increasing production volume at our manufacturing facility," he said during the company's fourth-quarter earnings call. Wiederhorn views the Smokey Bones acquisition as a similar opportunity although that was not mentioned when the brand was purchased in 2023. We look for opportunities that not only expand our restaurant portfolio, but also drive incremental value through our manufacturing capabilities, essentially getting two bites at the apple," Fat Brands also shared during its earnings call that 30 of the remaining 58 Smokey Bones locations will be rebranded as Twin Peaks. Another nine Smokey Bones locations will close. While Fat Brands will maintain a roughly 85% stake in the new company, it has actually spun off Twin Peaks and the remains of the Smokey Bones chain into its own company. "Twin Hospitality now trades separately on the NASDAQ under the ticker TWNP. The public listing of Twin Hospitality creates an opportunity for shareholders to directly participate in the growth and success of the Twin Peaks brand. This strategic move enhances transparency and enables the market to better appreciate the distinct value of Twin Peaks," Wiederhorn said. Twin Peaks is a sports bar/breastaurant model where the waitresses wear low-cut outfits. The new company's executives also commented on the Smokey Bones conversions. "Our flexible real estate model has proven highly successful in converting legacy restaurants into Twin Peaks. These conversions enable faster time to market, lower buildout costs and accelerated return on investment," said CFO Ken Kuick.. Some of the conversions have already come online. "We have also made progress with our strategic plans to convert Smokey Bones into Twin Peaks. Our first Twin Peaks conversion, which opened in Lakeland, Florida last September, is exceeding expectations, while our second Twin Peaks conversion in Brandon, Florida opened this month and is off to a strong start. We project completing two additional conversions in 2025." Most of the nine locations that are fully closing have already been closed.
