Aflac caught in string of cyberattacks on insurers
Aflac, a U.S. insurance provider that covers millions of policyholders, warned some of its customers' most sensitive data may have been stolen in a recent cyberattack. Why it matters: Aflac warned that a "sophisticated cybercrime group" was behind the intrusion and said many insurance providers are currently battling the same group. Driving the news: The insurance provider told investors in an SEC filing Friday that it detected unauthorized activity within hours on its networks on June 12. The incident didn't impact Aflac's operations and the company noted it also was not the victim of ransomware. Aflac said its initial investigation suggests that the hackers used social engineering techniques to gain access to the company's systems. From there, they likely stole an undetermined number of files from the systems, potentially including customers' claim information, health information, Social Security numbers and other highly sensitive personal details. Aflac is still investigating the scope of the breach and hired third-party investigators to assist in the matter. Between the lines: A source familiar with the investigation told Axios that the characteristics of the attack are consistent with those of the English-speaking cybercriminal gang Scattered Spider. Google's cybersecurity experts warned earlier this week that the cybercriminal gang was turning its attention to the insurance sector after a month-long hacking spree against retailers.

Couchbase stock soars after $1.5 billion acquisition deal with Haveli
-- Couchbase Inc (NASDAQ:BASE) stock surged 29% following the announcement that the company has agreed to be acquired by Haveli Investments in an all-cash transaction valued at approximately $1.5 billion. Under the terms of the agreement, Couchbase stockholders will receive $24.50 per share in cash, representing a 29% premium to the company's closing stock price on June 18, 2025, the last full trading day prior to the announcement. The deal also marks a 67% premium to the closing price on March 27, 2025, when Haveli first invested in the company. The stock is currently trading at $24.46 per share, a 29.3% gain on the day, as of 9:51 ET. The transaction, which has been approved by Couchbase's board of directors, is expected to close in the second half of 2025, subject to stockholder approval and regulatory clearances. Upon completion, Couchbase will become a privately held company, and its common stock will no longer be listed on any public market. "Today's announcement marks a significant milestone for our stockholders and an exciting new chapter for Couchbase," said Matt Cain, Chair, President and CEO of Couchbase. "Haveli's investment is a strong affirmation of our market position and our future potential." The merger agreement includes a "go-shop" period expiring at 11:59 p.m. Eastern time on June 23, 2025, during which Couchbase can solicit and consider alternative acquisition proposals. Haveli Investments, a technology-focused investment firm, views the acquisition as strategic given the increasing importance of data platforms in AI applications. Morgan Stanley is serving as exclusive financial advisor to Couchbase, while Jefferies is acting as lead financial advisor to Haveli. Thai SEC Consults on Rules Allowing Exchanges to Offer Utility Tokens
Thailand's Securities and Exchange Commission (SEC) opened a consultation on rules for exchanges to issue their own utility tokens. The regulator is proposing allowing crypto exchanges, or a person related to the exchange, to issue utility tokens for blockchain transactions, it said on its website. Exchanges will have to disclose the names of anyone related to token issuers so the SEC can monitor for insider trading. The consultation comes as the regulator looks to strike a balance between allowing innovation while preventing illicit activity. In May it said citizens will be blocked from accessing crypto exchanges including Bybit and OKX from June 28, citing violations of the Digital Asset Business Act. In March it added Tether's USDT stablecoin and Circle's (CRCL) USDC to its list of approved tokens that can be traded on exchanges. Previously, only bitcoin BTC, ether ETH, XRP XRP, stellar XLM and some tokens used in the Bank of Thailand's settlement system were approved by the SEC. Thailands' SEC will be gathering opinions on its rules up until July 21, it said.
