Court approves sale of Hudson's Bay trademarks to Canadian Tire

Canadian Tire Corp. Ltd.'s historic purchase of Hudson's Bay trademarks will go ahead after an Ontario judge granted permission for the deal.
Judge Peter Osborne says the $30-million deal was the best possible outcome given the circumstances facing the Bay.
The deal will give Canadian Tire rights to the Bay name, its coat of arms and its iconic stripes.
Court documents have also shown the deal includes the Bay's Distinctly Home brand, its Hudson North apparel line, trademarks like 'Bay Days' and the Zellers catchphrase 'lowest price is the law' as well as a contract with Pendleton Woolen Mills, an Oregon-based blanket and clothing maker.
The sale to Canadian Tire was the buzziest matter Osborne presided over Tuesday. At the same court hearing, he also approved a receivership application for a joint real estate venture Hudson's Bay was part of and made a declaration helping employees receive funding to recover from the collapse of their employer.
The approvals came months after Canada's oldest company filed for creditor protection and days after it closed all 96 of the stores it ran under its Bay and Saks banners on Sunday.
Osborne called the weekend closures 'a milestone, albeit an unhappy one' that amounts to 'the end of an era.'
Hudson's Bay has said the sale and closures were necessary because the 355-year-old company was not able to attract an investor to keep some semblance of the current business alive.
Canadian Tire, which also owns SportChek, Party City, Mark's and Pro Hockey Life, wound up being the winner of the Bay's trademarks after the ailing company and its advisers invited 407 people and firms to bid on the intellectual property and other assets.
Ashley Taylor, a lawyer for Hudson's Bay, told Osborne that 17 bids were received. Thirteen were for intellectual property but Canadian Tire's was superior, he said.
'The Canadian Tire transaction represents the highest and best process offer resulting from a competitive process,' Taylor said.
What precisely gave Canadian Tire the edge is contained in a document Taylor has asked the court to seal because it contains commercially sensitive information, including the amounts offered by the next highest bidders.
Osborne granted the request.
The Canadian Tire deal is the first of several Taylor is expected to ask a court to approve.
He said Hudson's Bay will eventually return to court to get approval for B.C. mall owner Ruby Liu to take over up to 28 Bay leases to develop a new department store. That deal needs the support of landlords.
He also teased that two other deals concerning some of the other properties the Bay used will be announced soon.
The Canadian Tire deal was being discussed at a hearing that spanned several issues, including a joint real estate venture the Bay has with RioCan Real Estate Investment Trust.
The venture has leases for 12 properties the department store used, but RioCan wanted to put the partnership into receivership to protect its stakeholders and maximize the value it can recover.
Receivership is a process allowing a third-party to take control of a company's assets, oversee their liquidation and repay creditors.
Joseph Pasquariello, a lawyer for RioCan, wanted FTI Consulting Canada appointed as the receiver because his client's 'dollars are on the line' and it wants timely solutions.
Osborne approved Pasquariello's request, saying it was 'just and convenient.'
Osborne also recognized Hudson's Bay as the former employer of all the department store's workers who have been terminated.
The declaration allows Bay's 9,364 staff, including more than 8,300 who have already lost their jobs, to recoup money they may be owed from the retailer under the Wage Earner Protection Program Act.
People who qualify under the federal program can earn up to $8,844.22 this year.

Intel shares dropped similarly to what happened the last time they cut marketing, and lost modestly in Friday afternoon's trading. And now, the cuts continue, as Intel moves its marketing operations to Accenture (ACN). As it turns out, Intel will be turning to a combination of Accenture and artificial intelligence (AI) to do the job. Worse, Intel believes that Accenture will '…do a better job connecting with customers than Intel's own marketing organization has,' reports suggest, which is absolutely not a phrase you want on your resume. Another Price Cut As bad as the news was for Intel's marketing operations, it did get better for Intel's customer base. Reports noted that Intel had once again cut prices on the Core Ultra 7 265KF processor. This is the second such cut in as many months, reports note. The processor is now not only priced at its lowest level ever, but is now 40% cheaper than it was when it first hit shelves. The downside, for those considering a processor buy, is that the F variants—of which this is one—does not include a graphics processing unit (GPU) included. Thus, those using this processor will need a separate graphics card to go with it. Still, with that kind of price cut, a better graphics card could be added to the list for about the same price, and potentially, some savings as well. Is Intel a Buy, Hold or Sell? Turning to Wall Street, analysts have a Hold consensus rating on INTC stock based on one Buy, 26 Holds and four Sells assigned in the past three months, as indicated by the graphic below. After a 30.88% loss in its share price over the past year, the average INTC price target of $21.30 per share implies 0.35% upside potential. (Pexels) The Government of Saskatchewan has announced that the Canada Disability Benefit will be exempt from its core income assistance programs. This means that people with disabilities can receive up to $200 per month in additional federal income without affecting their provincial income assistance benefits. Social Services Minister Terry Jenson says this will put more money in the pockets of Saskatchewan income assistance clients. 'Our government is committed to supporting people with disabilities, and we brought our Saskatchewan perspective to collaborations with the Government of Canada on this new program,' Jenson said in a news release. The province says as part of the 2025-26 budget, Saskatchewan Income Support (SIS) and Saskatchewan Assured Income for Disability (SAID) benefits have increased by two per cent. The SAID program provides long-term income support and services to those with disabilities. SAID benefits include a living income benefit, disability income benefit, and exceptional need income benefit, varying depending on individual needs. As of April 1, 2025, annual earned income exemptions have been updated to $7,500 for singles, $8,700 for couples, and $9,500 for families

Here's Why Wall Street Is Bullish on AI Stock Vertiv Holdings (VRT)

Vertiv Holdings (VRT) stock has recovered strongly from the lows seen in April and has risen more than 11% over the past month, as concerns about a slowdown in AI (artificial intelligence) spending have eased. VRT stock has rallied more than 30% in the past year. The data center infrastructure company is gaining from the strong demand for its energy-efficient cooling and power solutions that are required to support the ongoing AI boom. Confident Investing Starts Here: Vertiv: Riding the AI Wave Vertiv impressed investors with solid Q1 earnings beat. The company's Q1 2025 revenue grew 24%, while adjusted EPS (earnings per share) increased by about 49%. The AI infrastructure company also raised its full-year guidance, reflecting confidence in navigating macro challenges and mitigating the impact of tariffs announced by the Trump administration. 'Our partnership with Nvidia continues to place us at the heart of industrial-scale AI factory deployments,' said VRT CEO Giordano Albertazzi. Recently, Vertiv further strengthened its collaboration with chip giant Nvidia (NVDA) and announced an energy-efficient 142kW cooling and power reference architecture for the latter's GB300 NVL72 platform. Overall, VRT is confident about its growth ahead, with a 10% rise in Q1 2025 backlog to $7.9 billion compared to the end of 2024. Analysts Raise Price Target for VRT Stock on AI Demand Recently, Bank of America analyst Andrew Obin reiterated a Buy rating on Vertiv stock and increased the price target to $140 (17.8% upside potential) from $135. The 5-star analyst emphasized that the rapid advancement of AI is transforming the data center infrastructure landscape, driving robust demand for power, cooling, and advanced hardware. BofA expects data center spending to grow at a 13% CAGR (compound annual growth rate) from 2024 to 2028, reaching $532 billion. In fact, he expects infrastructure-related spending to climb at an even faster 16% CAGR. Notably, Obin believes that Vertiv, Eaton (ETN), and Johnson Controls (JCI) are well-positioned to leverage the shift toward high-density racks and advanced cooling solutions like direct-to-chip liquid cooling. He also named GE Vernova (GEV) as a top pick in the power generation space, citing its potential to meet rising demand. With only 5% of existing data centers equipped to handle AI workloads, Obin expects a massive upgrade cycle ahead. Also, with AI-driven demand showing no signs of slowing, Obin is upbeat about these stocks. Meanwhile, Citi analyst Andrew Kaplowitz increased the price target for VRT stock to $130 (9.4% upside potential) from $98 and reaffirmed a Buy rating. Following a meeting with the management, the 5-star analyst stated that he is confident that Vertiv remains well-positioned for huge industrial market outgrowth, thanks to durable AI/data center-related growth (Citi forecasts overall global data center IT load growth at 14% CAGR through 2030) and its focus on innovation. Kaplowitz also highlighted VRT's efforts to mitigate tariff headwinds over time. Citing the possibility for margin expansion, strong underlying fundamentals, and increased confidence in improving performance, Kaplowitz increased the EV/EBITDA target multiple for VRT stock to 21x from 16x. Is VRT a Good Stock to Buy? Overall, Vertiv Holdings stock scores a Strong Buy consensus rating based on 12 Buys and two Holds. The average VRT stock price target of $116.93 indicates a possible downside of 1.6% from current levels, following the strong rally over the past year.
