TORONTO — Flow Beverage Corp. (TSX:FLOW; OTCQX:FLWBF) (' Flow ' or the ' Company ') announced today having entered into its previously announced secured business purpose loan note with NFS Leasing Canada Ltd. (' NFS ') of up to $4 million (the ' NFS Term Loan ')and having entered into a secured convertible loan with RI Flow LLC (' RI Flow ') of up to $6 million (the ' RI Flow Convertible Loan ' and, together with the NFS Term Loan and the RI Flow Convertible Loan, the ' Business Term Loans '). RI Flow and NFS are affiliates of Clifford L. Rucker and they collectively own, or have control or direction over, more than 10% of the voting rights attached to all of the Company's outstanding voting securities on a partially diluted basis.

The Company also announced today that the Toronto Stock Exchange (' TSX ') has conditionally approved the Business Purpose Loans as well as the previously announced $2 million secured term loan advanced by NFS to Flow.

Further to its press release dated May 26, 2025, the Company has now obtained the requisite approval from shareholders holding in the aggregate more than 50% of the total voting rights of the Company's issued and outstanding shares, excluding shares held by RI Flow, NFS and Clifford L. Rucker, which approval has been evidenced by written consent in accordance with the requirements set forth in Section 604(d) of the TSX Company Manual. This written consent satisfies the Flow security holder approval requirement of the TSX in respect of the Business Purpose Loans as well as the previously announced $2 million secured term loan advanced by NFS to Flow. Each of the Business Purpose Loans and the previously announced $2 million secured term loan advanced by NFS to Flow remain subject to the final approval of the TSX.

NFS Term Loan

As previously disclosed, the NFS Term Loan will mature on a date that is three years from the date of issue (the ' NFS Loan Maturity Date ') and bear interest at a rate of 15% per annum (' NFS Loan Interest ') accruing on the funded amount of up to $4 million (the ' NFS Loan Amount ') from the date the applicable portion of the NFS Term Loan is advanced and compounding annually. The NFS Loan Amount and the NFS Loan Interest will be payable in arrears beginning on the first calendar day of the first month after the date of issue with no payments required for the first three consecutive months, followed by thirty-three equal monthly payments. The NFS Loan Amount will be advanced in tranches, with each tranche subject to the satisfaction of certain lending conditions, including the Company's achievement of certain monthly net revenue milestones. The proceeds of the NFS Term Loan will be used solely for general corporate and working capital purposes. The NFS Term Loan is secured against all assets of the Company and its subsidiaries on the same basis as the security provided pursuant to the Term Loan and Security Agreement dated as of December 30, 2022 between the Company and NFS (the ' NFS Loan Agreement ') and ranks in right of payment of principal and interest pari passu with the other secured obligations pursuant to the NFS Loan Agreement and senior to all other obligations of the Company and its subsidiaries.

RI Flow Convertible Loan

As previously disclosed, the RI Flow Convertible Loan will be issued for an aggregate principal amount of up to $6 million (the ' RI Flow Convertible Loan Amount ') and mature eighteen months from the date of issuance (the ' RI Flow Loan Maturity Date '). The RI Flow Convertible Loan will bear interest at a rate of 15% per annum (' RI Flow Loan Interest ') from the date the applicable portion of the RI Flow Convertible Loan Amount is advanced, compounded annually on the basis of a 365-day year, and paid on the RI Loan Maturity Date (' RI Flow Loan Interest '). On the RI Flow Loan Maturity Date, the outstanding principal amount of the RI Flow Convertible Loan (together with all accrued and unpaid interest thereon) not elected for conversion into SV Share (as herein defined) shall become immediately due and payable by the Company in full in cash. The RI Flow Loan Amount will be advanced in tranches, subject to the satisfaction of certain lending conditions, including the Company's achievement of certain monthly net revenue milestones.

Beginning one year following the issuance of the RI Flow Convertible Loan, RI Flow will have the right to convert all or any portion of the outstanding principal amount of the RI Flow Convertible Loan (and any accrued and unpaid interest thereon) into subordinate voting shares in the capital of the Company (each, a ' SV Share ') at a conversion price of $0.065 per SV Share (the ' Conversion Price ') on not less than ten business days' notice to the Company. Upon a change of control of the Company or a divestiture of the Company's packaging facility in Aurora, Ontario and related operations, RI Flow will have the right to either (a) convert all or any portion of the outstanding principal amount of the RI Flow Convertible Loan (and any accrued and unpaid interest thereon) into SV Shares at the Conversion Price or (b) provided the Company receives net proceeds at the closing of such change of control or divestiture transaction results of at least $12 million, accelerate payment of the whole or any part of the outstanding principal amount of the RI Flow Convertible Loan (and any accrued and unpaid interest thereon) in cash. The RI Flow Convertible Loan provides for customary anti-dilution provisions pursuant to which the Conversion Price will be subject to adjustment in certain customary events and will be non-transferable, other than to wholly-owned affiliates of RI Flow.

The maximum number of SV Shares issuable on conversion of the RI Flow Convertible Loan is 114,115,385 SVS, which represents 127.19% of the total number of issued and outstanding SV Shares and multiple voting shares on a non-diluted basis. The Conversion Price of $0.065 represents an 8.9% premium to the SV Share market price of $0.0597 as at May 22, 2025.

The RI Flow Convertible Loan is secured against all assets of the Company and its subsidiaries on the same basis as the security provided pursuant to the Term Loan and Security Agreement dated as of October 31, 2024 between, inter alios, the Company, and RI Flow (the ' RI Flow Loan Agreement '), and will rank in right of payment of principal and interest subordinate only to the obligations secured pursuant to the NFS Loan Agreement, pari passu with the secured obligations pursuant to the RI Flow Loan Agreement and senior to all other obligations of the Company and its subsidiaries.

Minority Shareholders Protection

As previously disclosed, the Business Purpose Loans constitute 'related party transactions' under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ('MI 61-101'). Flow is relying on the 'financial hardship' exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 available respectively under Sections 5.5(g) and 5.7(e). The independent directors of Flow, having taken into account the liquidity, financial position and cash needs of the Company, the objectives of the Business Purposes Loans, the alternatives available to the Company, relevant benefits, risks and other factors, including the relative impacts on applicable stakeholders, and such matters they considered relevant or appropriate, have unanimously determined that the Company is in serious financial difficulty, that the Business Purposes Loans are designed to improve the Company's financial situation, that the terms of the Business Purposes Loans are reasonable in the circumstances, and that the Business Purposes Loans are the best interests of the Corporation. The Company did not file a material change report in respect of the Business Purpose Loans 21 days in advance of the entering into of the Business Purpose Loans as the terms of such Business Purpose Loans had not been confirmed at that time.

Road construction begins in southwest London
Extension of Bradley Avenue begins on Monday. (Source: City of London) More construction in London's southwest begins on Monday, with the extension of Bradley Avenue. The road will be extended beyond White Oak Road to Wharncliffe Road South. According to the City of London, this will improve connectivity, support future growth and bring a new four-lane road to the area. Another upgrade to Bradley Avenue will include new sidewalks, bike lanes, street lighting and an open drainage channel between White Oak Road and Jalna Boulevard. Part of the project includes phase one of the White Oaks Tributary Complete Corridor, which will add a new drainage chancel and natural heritage improvements. Doug MacRae, Director, Transportation and Mobility said the Bradley Avenue extension supports continued growth and improvement on how people move around the city. 'This is more than just roadwork, it's an investment in how we move, grow and live in southwest London,' said MacRae. The extension aligns with London's long-term growth management strategy in the southwest area.

This Ultra-High Dividend Yield Stock Is Crushing the Market in 2025: But Is It a Buy Today?
In times of turmoil and uncertainty, investors often flock to consumer staples. That has occurred yet again in 2025. Altria Group (NYSE: MO) has posted a total return of 17% year to date, compared to a measly 2% return for the S&P 500 index. With domestic rights to the tobacco brand Marlboro, among other assets, the company has long been a reliable dividend stock, and it boasts a sky-high dividend yield of 6.8% as of this writing. Should you buy shares of Altria Group to ride out market volatility? Here are the positives and negatives of owning the tobacco stock right now. Declining cigarette volumes The largest selling point against Altria Group and its cigarette business is the rapidly declining usage of cigarettes in the United States. While good for society, it is a headwind to Altria's bottom line, with gradually declining demand for the company's core product. And this trend may be accelerating as Marlboro volumes fell 13% year over year last quarter, one of the worst volume performances in the company's history. Altria has been able to counteract volume declines with price increases. Smokeable net revenue after excise taxes only dipped 4.1% last quarter with operating income up 1.2% to $2.47 billion. Altria has long been able to prop up its bottom line despite the shrinking pool of smokers in the United States. It reported $11.62 billion of consolidated operating income over the past 12 months, a figure that has held relatively steady over the last five years. Trying to move beyond cigarettes Just because cigarette usage in the U.S. is declining, however, does not mean nicotine usage is down. New forms of nicotine consumption have popped up in recent years, such as electronic vapor and tobacco-free nicotine pouches. Altria has made numerous investments into these product categories. It now owns the NJOY vaping brand, which is growing market share in the U.S. (6.6% as of last quarter). Revenue and earnings from NJOY are not disclosed today, but it is a growing brand for Altria that can help make up for lost cigarette customers. Altria also owns the On! pouch brand, which grew shipment volumes 18% last quarter to 39.3 million. One problem remains, though: It's well behind other tobacco giants in building these new nicotine businesses. For example, On! competitor Zyn, owned by Philip Morris International, is growing faster and has much larger market share. Zyn shipment volume in the United States was 202 million last quarter, up from 132 million a year ago. That means Zyn added more than the entire quarterly On! shipment volume in just one year. Altria is behind its peers in non-tobacco nicotine, and that's not a great place for the business to be in. Data by YCharts. Should you buy Altria Group stock at a dividend yield of 6.8%? Altria's dividend currently yields 6.8%, enough to generate a substantial amount of annual income. For example, if you own $10,000 of Altria stock, you would receive about $680 in dividend income for the year (before taxes). That amount will likely grow over time as well. But how sustainable is this dividend with the company facing weakening demand for its biggest product? Altria pays an annualized dividend per share of $4.04, while its free cash flow per share is $4.97, or 23% larger than the payout. Free cash flow is the core metric here since it represents the company's operating cash flow, less capital expenditures (money reinvested into the business). The cushion between Altria's dividend payments and free cash flow leaves it with some flexibility to maintain and grow its annual payout. At the same time, management is repurchasing stock, which reduces its outstanding share count and the total amount paid out in dividends each quarter. So, in the short run, Altria Group should have no trouble maintaining its dividend, but it's the long run that concerns me. Record cigarette volume declines will catch up with the company eventually, and anyone looking to hold the stock for years of steady, passive income is facing this major risk. Completion date for Walker Road-Tecumseh Road construction project delayed again
The completion date for a construction project around Tecumseh Road East and Walker Road in Windsor is being pushed back again. The Tecumseh Road East infrastructure renewal project was scheduled to be completed by July but is now scheduled for completion in August due to additional work that's been identified. An ENWIN spokesperson tells AM800 News that while performing road restoration work, it was identified that additional repairs are required in order to ensure the long-term durability of the roadway. This work is being completed now, while traffic controls are already in place, to help avoid future disruptions and is anticipated to reduce the need for further major maintenance or construction in the coming years. Traffic on the west side of Walker Road will be reduced to one lane in each direction, controlled by traffic signals in late June. No left turns will be permitted at the Tecumseh/Walker intersection during this time. Ward 4 Councillor Mark McKenzie calls this latest delay ridiculous, given it was supposed to be done in Fall 2024. 'We heard back in March; they said it would be eight to 12 weeks, which would put it at the end of May. The end of May has come and gone. We were told it would be maybe the beginning or mid-July; now we're hearing it's going to be August,' he said. The current work is the continuation of a project that started in May 2024, and it includes a new 1,200-meter-long concrete water main, along with road paving and surface restoration. Along with the intersection, the work has impacted several surrounding roads, including Memorial Drive, Turner Road, Factoria Road, Milloy Street and Chandler Road, all near the Met Campus of Windsor Regional Hospital. McKenzie says he's hearing from residents every day about this project. 'You have people who are speeding up and down these residential streets now trying to avoid the delays that you're seeing on Walker Road and Tecumseh Road because of this never-ending construction project,' he said. McKenzie says he doesn't understand why this project is taking so long. 'Something needs to be done here; there need to be timelines that are set in these contracts. If these contractors can't hit these timelines, these deadlines, then they should be penalized for it.
