NTT to turn NTT Data into wholly owned unit in overseas push

TOKYO (Kyodo) -- Japan's top telecommunications provider Nippon Telegraph and Telephone Corp. plans to make its publicly listed subsidiary NTT Data Group Corp. a wholly owned unit to boost the competitiveness of its overseas businesses, which are mainly run by the unit, sources close to the matter said Thursday.
NTT, which already holds around 58 percent of NTT Data Group shares, will purchase the rest of the unit's stock in a tender offer, the sources said, adding the total investment for the reorganization will top 2 trillion yen ($14 billion). The unit will then be delisted from the Tokyo Stock Exchange.
The purchase is aimed at speeding up decision-making by ending the situation where the parent company and subsidiary are both publicly listed with separate shareholder accountabilities, they said.
NTT said Thursday it will vote on the plan at a board meeting later in the day.
NTT Data Group runs businesses related to information technology services and data centers, which are in high demand amid the expanded use of generative artificial intelligence technology.
The move is the latest by NTT, whose top shareholder is the Japanese government with around one-third of its shares, to reorganize its operations in response to changing market conditions, with demand for landlines decreasing but that for IT services expanding.
Turning NTT Data Group into a wholly owned unit would be the largest investment by NTT since it spent around 4 trillion yen to purchase all shares of mobile phone carrier NTT Docomo Inc. in 2020.
The predecessor of NTT Data Group spun off from NTT in 1988. It was listed on the Tokyo Stock Exchange in 1995 and assumed its current company name in 2023.
It booked revenues of 4.37 trillion yen and a net profit of 133.87 billion yen in the business year that ended in March 2024.

NTT Data, whose parent intends to make it a wholly owned subsidiary, will be replaced by electronics group Rohm on July 4. NTT Data will also be deleted from the Nikkei Stock Index 300, the Nikkei 500 Stock Average and the Nikkei 225 Climate Change 1.5°C Target Index. Instead, Haseko will be added to the Nikkei Stock Index 300 on the same day, while NOF will be added to the Nikkei 500 Stock Average. The replacement in the Nikkei Climate 1.5°C Target Index will not be made until the next review in October.

TOKYO (Kyodo) -- Japan's largest telecommunications provider, Nippon Telegraph and Telephone Corp., will change its official name to NTT Inc. on July 1 after shareholders approved the switch to the commonly used abbreviation on Thursday. Noting the decades-old name no longer accurately reflects its contemporary areas of operation, which range from information and communication technology to real estate, Senior Executive Vice President Takashi Hiroi said the change will "enhance our brand as a leading global company." The company said it will continue to use the signature "Dynamic Loop" design as its corporate logo. The original name has been in use since NTT was established as a public corporation in 1952. It continued to be used through its privatization in 1985. The name change became possible with the amendment of the Nippon Telegraph and Telephone Corporation Act last year, which loosened regulations on the company that has long provided vital public services.

As of 0106 GMT, the Nikkei was down 1.5% at 37,584.47. The broader Topix fell 1.28% to 2,7473.9. The market was selling stocks on caution for geopolitical risks, but the news was not driving a fire sale because investors still wanted to monitor the development of the attacks, said Naoki Fujiwara, a senior fund manager at Shinkin Asset Management. Israel has begun carrying out strikes on Iran, two U.S. officials said on Thursday, adding that there was no U.S. assistance or involvement in the operation. Chip-making equipment maker Tokyo Electron fell 5.5% to drag the Nikkei the most. Uniqlo-brand owner Fast Retailing lost 2.1%. Exporters fell as the yen strengthened, with Toyota Motor and Nissan Motor falling 2.75% and 1.5%, respectively. All but three of the Tokyo Stock Exchange's 33 industry sub-indexes fell. Energy sectors rose as oil prices jumped, with oil explorers and refiners gaining 3.6% and 2.2%, respectively. The utility sector rose 0.7%.
