Deemed conveyance can't be denied due to delay on part of the builder: HC

MUMBAI: In a significant ruling strengthening the rights of homebuyers, the Bombay high court (HC) on Friday held that a developer's failure to complete a housing project within the stipulated time cannot be used as a reason to deny flat owners their right to deemed conveyance under the Maharashtra Ownership Flats Act (MOFA), 1963.
Deemed conveyance refers to the legal transfer of land and building title from the builder to the housing society, even without the builder's cooperation, once the society is formed and other legal conditions are met.
Justice Amit Borkar, presiding over a single-judge bench, passed the order while allowing a petition filed by an association of three cooperative housing societies. The group had challenged a decision by the competent authority rejecting their application for deemed conveyance.
The dispute dates back to 1995, when Abhinav Real Estate Pvt Ltd (now Neelkanth Realtors Pvt Ltd) undertook the development of 52,609 sq m of land in Majiwada, Thane. This development plan was reaffirmed in 2002. Eventually, eight residential buildings housing 740 flats and 29 commercial units were constructed and sold to individual buyers. Housing societies — Rameshwar CHS (2004), Mansarovar CHS (2005), and Girija CHS (2011) — were formed under MOFA.
In 2024, frustrated by the builder's prolonged failure to execute conveyance deeds, the three societies joined forces and formed an association to seek deemed conveyance from the competent authority under MOFA.
However, the builder opposed the move, arguing that the association was formed improperly and that it was already facing de-registration proceedings. The competent authority rejected the application, citing that the land was part of a larger layout and that the builder had plans for further development using additional Floor Space Index (FSI) and Transferable Development Rights (TDR).
Justice Borkar dismissed the developer's contentions, stating, 'The right of flat purchasers to receive conveyance crystallises once the society is formed. This right does not depend on any vague promises or future intentions of the promoter to construct additional buildings or complete an entire layout.'
He added, 'Once a reasonable time has passed, the promoter is legally bound to convey the property. In this case, the promoter has neither completed the remaining development nor provided any concrete plan to do so. They cannot be permitted to use their own delay as a shield to obstruct the rights of the society.'
The court directed the District Deputy Registrar, Cooperative Societies, Thane, to issue a deemed conveyance certificate to the association, effectively granting ownership rights to the housing societies.

Mumbai: The Central Bureau of Investigation (CBI) has told Bombay high court that it has to conduct a "thorough investigation" into complaints against Jai Corporation Ltd director Anand Jain in an alleged Rs 2,434-crore fraud case. The probe agency was replying to Jain's petition seeking quashing of the FIR registered after the Jan 31 HC order to form an special investigation team (SIT) to probe into two complaints filed in 2021 and 2023 with the Economic Offences Wing by Shoaib Sequeira of NGO Protection of Rights Association. The HC on Wednesday granted Jain time to file his rejoinder and posted the hearing after four weeks. On March 17, the Supreme Court had refused to interfere with the HC order. Jain moved HC claiming the FIR was registered without conducting a preliminary enquiry (PE). HC had directed PE and not registration of FIR. However CBI, in its reply filed by SIT chief Sarah Sharma, said the HC's order contains "specific mandate for thorough investigation in the two complaints" and does not contain the words 'preliminary enquiry'. But CBI countered that Jain cannot claim the matter has attained finality after SEBI's inquiry. It is also not a legal bar for the CBI to investigate the matter. "In the instant matter, the investigation is being conducted to unearth the conspiracy hatched by the accused persons, if any, and the role and complicity of other private persons as well as the public servants involved in the offence, if any. The investigation has wider connotation to bring out the truth whereas the in-house inquiry of SEBI has a limited scope to arrive at the irregularities/ malpractices/violations of SEBI regulations," it added. The CBI said that it is premature to conclude that no prima facie case is made out. Further, the complaints "disclose the information relating to commission of a cognisable offence".

The Maharashtra urban development department (UDD) has sought information from the Pune Municipal Corporation (PMC) over the issuance of transfer of development rights (TDR) worth nearly ₹1,500 crore, sanctioned by former municipal commissioner Rajendra Bhosale just before his retirement on May 31. A senior official said the UDD department has asked PMC to submit records and explanations about the approvals, which have sparked widespread criticism from citizens, activists, and political leaders. According to records published by PMC, Bhosale approved TDR within days before stepping down from office, raising eyebrows over the timing and the beneficiaries. Seven private builders had reportedly submitted proposals to the civic body seeking additional floor space index (FSI) by using the TDRs in question. 'This appears to be an attempt to benefit a few developers in a hurry. We had already raised concerns about the sudden spurt in TDR issuance, and now they are lining up for FSI clearances,' said BJP leader Ujwal Keskar. He said the UDD secretary had personally contacted the municipal commissioner's office for a detailed explanation. The TDR mechanism is intended to compensate landowners whose properties are reserved for public amenities by allowing them development rights that can be sold or used elsewhere. However, critics argue that the process under Bhosale lacked transparency and could lead to undue benefit to certain builders. Civic activists have questioned whether due diligence was followed in approving the TDRs, and why such a large quantum was cleared so close to the end of the commissioner's tenure. Allegations include lack of proper scrutiny, selective approvals, and attempts to push through the proposals without public consultation. 'Former municipal commissioner Rajendra Bhosale single-handedly opened a ₹1,500 crore TDR market under his authority. He sidelined the very existence of the 'City Improvement Committee',' said Vijay Kumbhar, RTI activist. Bhosale was unavailable for comments. The state government's intervention is likely to result in a formal review. According to PMC sources, documentation related to TDR approvals is being compiled for submission to UDD. The controversy comes at a time when Pune is already facing scrutiny over the misuse of development tools like TDR and premium FSI, which many claim have led to unplanned growth and burdened civic infrastructure.
