LAS VEGAS & KENNESAW, Ga.--(BUSINESS WIRE)--SEE ID, Inc., doing business as Dot Ai ('Dot Ai'), a pioneering startup at the forefront of asset intelligence technology, and ShoulderUp Technology Acquisition Corp. (NYSE: SUAC) ('ShoulderUp'), today announced the closing of their previously announced business combination, which was approved by ShoulderUp shareholders at a special meeting on Feb. 6, 2025.
Pursuant to the closing of the business combination, Dot Ai has become a publicly traded company, and its Class A common stock and warrants will begin trading on Nasdaq under the ticker symbols 'DAIC' and 'DAICW,' respectively, on June 23, 2025.
In connection with the business combination, Dot Ai has raised $12 million in PIPE investment to support its strategic growth plans, including the expansion of R&D, Go-To-Market, and building out of its Puerto Rico-based manufacturing operations.

The Company further announced today that upon the closing, Phyllis Newhouse, Holly Grey, Joanna Burkey, Jeff Saling, Dr. Sheldon Paul, Dr. David Carlson and Ed Nabrotzky are expected to join Dot Ai's Board of Directors. Additional board members are expected to be announced at a later date.
About Non-Employee Directors
Holly Grey has been the Chief Financial Officer of Exabeam since November 2021. Ms. Grey has over 25 years of experience in high-growth technology companies. Prior to Exabeam, from 2013 to 2020, Ms. Grey was SVP Finance at Forescout Technologies, where she was responsible for all financial and accounting operations and led Forescout through its successful initial public offering. Before Forescout, from 2008 to 2013, Ms. Grey was SVP Finance at Accuray Incorporated, a publicly traded medical device technology company. Prior to Accuray, from 2000 to 2008, Ms. Grey was VP Finance at Aspect Software, leading the organization through significant growth, including multiple M&A transactions. Joanna Burkey is a transformational leader, board director, and senior executive with deep experience in cybersecurity, technology, and digital transformation. Joanna has held a variety of roles throughout her career, primarily focusing on cybersecurity, strategy, engineering and risk. She is passionate about increasing diversity within technology and using her decades of experience in security and risk to serve others. He is currently the executive director and co-founder of StartUpNV, Nevada's non-profit statewide startup accelerator, where he leads the vision, strategy and operations to support and accelerate the growth of Nevada-based startups. Dr. David Carlson, DO, MBA, has been the Chief Medical Officer in South King County for Virginia Mason Franciscan Health since 2023. He recently served as a medical director for Seamar Community Health Centers in Pierce and Thurston Counties during 2023. Prior to joining VMFH, Dr. Carlson served as chief physician officer for MultiCare from 2017 to 2022, chief physician executive for Hospital Sisters Health System from 2014 to 2017, and chief medical officer for Conemaugh Health System in Johnstown, PA from 2007 to 2014. Last year saw footwear revenues decrease slightly, and its share price has fallen almost 40% during the past twelve months. This week, Nike will be releasing its FQ4 2025 results, and consensus estimates are not exactly bullish. Analysts are expecting total revenues of $10.7 billion – down 15% year-over-year – while a projected EPS of $0.12 would represent an 89% decrease year-over-year. One top investor known by the pseudonym Stone Fox Capital thinks that the growing competition will continue to present stiff resistance going forward. 'Nike remains overvalued despite a significant price decline, with the market underestimating downside risks and ongoing competitive pressures,' explains the 5-star investor, who is among the top 3% of TipRanks' stock pros. The biggest challenge for Nike going forward will be the growing competition, asserts Stone Fox Capital, citing On Holding and HOKA as two of the biggest threats. For instance, ONON's On Running is expected to grow revenues by 40% this year. Still, NKE is trading 'at multiples above the market,' despite forecasts of stagnating growth going forward. Stone Fox Capital spots quite a disconnect – one that the market has yet to take fully into account. 'Nike should be viewed based on the readily available data of a massive athletic footwear company that hasn't grown in years facing immense competition,' adds Stone Fox Capital. Stone Fox Capital is urging investors to pay attention to upcoming guidance for the next quarter, which the investor predicts will be a 'horrible' forecast. Needless to say, Stone Fox Capital does not believe that 'Just Do It' is good advice for would-be investors at present. 'The stock might be down substantially from the all-time highs a few years ago, but Nike isn't actually trading like the business is under pressure,' concludes Stone Fox Capital, who rates NKE a Sell. Dutchie's Fresh Market and company director fined for not paying employees

A former Dutchie's Fresh Market butcher told court Friday that getting shortchanged on his wages made him feel 'betrayed and exploited.' Dutchie's pleaded guilty to nine charges, under the Employment Standards Act, of failing to comply with orders to pay employees. Michael Renkema, the sole director of the Waterloo-based company, pleaded guilty to four charges. In provincial offences court in Kitchener on Friday, the company was fined $25,000; Renkema was fined $7,500. Complaints about unpaid wages surfaced in October 2021. Several employees were shortchanged. The charges involve a total of $35,956 in unpaid wages. Employees have now been paid what they were owed. The man who worked as a butcher at Dutchie's got a job there shortly after moving to Canada. 'We came to Canada with the goal of providing a better life for our family,' he wrote in a victim impact statement read aloud in court. 'When the payment delays began, I felt betrayed and exploited. I could not afford groceries for my family and had to rely on the Kitchener food bank for food.' 'It was hard to accept that this happened, especially since I had worked so hard and never imagined facing such a challenging situation within just five months of living in Canada,' he added. The first Dutchie's opened more than 40 years ago. At one point, the company had three grocery stores in Kitchener-Waterloo. Only one remains. Rachel Goldenberg, counsel for Dutchie's, explained what happened. 'Some very severe issues with the company's refrigeration vendor came to light in 2021,' she told court. 'As a result, the company faced significant financial losses in the millions of dollars and incurred significant debt.' 'The defendants deeply regret that when faced with this sudden loss of financial resources and mounting debt, employees were not paid their wages,' she said. They chose not to declare bankruptcy, Goldenberg said, because 'they did not want to deprive the employees and other creditors of amounts owed.' Renkema has not taken a salary or dividends from the company since the financial challenges began, she said, and 'he does not plan to do so until the company's debts are satisfied.' In handing out the fines, justice of the peace Michael Cuthbertson said Dutchie's employees were 'deprived of their livelihood.' 'I must ensure that Mr. Renkema and the corporation never again put themselves in the position of depriving employees of their wages, including any overtime work,' he said. 'Equally important, this message must be driven to employers … who have employees who are dependent on their wages: Those wages must be paid.' It's good news that all employees have been paid, Cuthbertson said. Everything to Know about Macro and Markets Stocks closed mixed on Friday amid hopes for de-escalation in the Middle East, still clocking in a second straight week in the red. Despite eking out a small increase on the last trading day of the holiday-shortened week, the Dow Jones Industrial Average (DJIA) ended the weekly session down 1.77%, returning to a year-to-date loss. Meanwhile, the S&P 500 (SPX) fell 1.28%, and the tech-heavy Nasdaq-100 (NDX) lost 1.31% for the week, with both benchmarks still in the green for the year. Confident Investing Starts Here: The Trade War and The Real War Stock markets were moved by geopolitical news during the week, with the Federal Reserve's policy meeting adding a significant macro highlight. The week opened positively as fears of all-out Mideast war eased, after which the rally crumbled – and crude resumed its climb – as Tehran threatened escalation and former President Donald Trump demanded 'total surrender.' After Thursday's Juneteenth closure, investors returned on Friday hoping for the best – but stocks lost ground throughout the day on another bout of trade news. The declines were led by semiconductor and chip equipment stocks, which fell after The Wall Street Journal reported that the U.S. plans to cancel the blanket waivers that allow international chip companies like Samsung, SK Hynix , and TSMC to easily send American chipmaking equipment to their factories in China. The possibility of new restrictions hit risk appetite that had just begun recovering on signs that Trump is giving a chance to diplomacy vis-à-vis Tehran, and after Fed Governor Christopher Waller said he sees a rate cut in July, adding that the inflation hit from tariffs is likely to be short-lived. The Rock and The Hard Place Wednesday's Fed interest rate decision brought no surprises, as the central bank kept rates unchanged, noting that uncertainty 'has diminished but remains elevated.' Fed Chair Jerome Powell noted that 'the economy is in a solid position,' and the Fed is well-positioned to provide a timely response to any economic developments. The Fed's 'Dot Plot' also remained unchanged, as policymakers still expect two rate cuts this year. However, expectations for inflation and unemployment by the end of 2025 both rose, while projections for GDP growth declined, underscoring the Fed's difficulties in establishing monetary policy amid contrasting economic crosscurrents and elevated geopolitical risks. Meanwhile, economic data appear to be confirming the Fed's view of a gradually softening economy. Retail sales fell for a second straight month in May, declining by the most so far in 2025 and marking the first back-to-back monthly decline since the end of 2023. Industrial production declined again, and the NAHB homebuilder confidence index slumped to its lowest since the end of 2022 – while new home construction dropped to the lowest level since 2020. This and other data, coupled with the Fed's updated economic projections, might keep 'stagflation' in the headlines. Sunday's news that the U.S. had struck Iran's nuclear facilities set the stage for a further rise in oil prices, adding short-term inflationary pressures and weighing on investor risk appetite. Markets remain wedged between escalating global risk and weakening fundamentals – with Fed policy constrained, volatility high, and few near-term catalysts to shift sentiment decisively. Stocks That Made the News ▣ Chip equipment makers Lam Research (LRCX), KLA Corp (KLAC), and Applied Materials (AMAT) – along with chipmakers including Nvidia (NVDA), Broadcom (AVGO), and TSMC (TSM) – slumped on the report that the Commerce Department is mulling plans to make it more difficult for U.S. semiconductor equipment to be shipped to Chinese fabs. ▣ Accenture (ACN) shares tumbled by more than 9% on the week after it reported weaker-than-expected bookings for its fiscal third quarter. Although the professional services giant beat on sales and profits, which were boosted by demand related to AI services, the earnings call reflected hesitancy regarding the near-term outlook due to the uncertain global economic backdrop. ▣ Kroger (KR) shares surged by nearly 9% on better-than-expected profit and identical sales growth in fiscal Q1. The operator of the largest chain of traditional grocery stores in the U.S. boosted its full-year identical sales growth forecast and maintained its other guidance. ▣ Coinbase Global (COIN) was by far the best S&P 500 performer last week, clocking in over 20% gain. The shares of the largest U.S. cryptocurrency exchange operator soared after the Senate passed the GENIUS Act, providing a regulatory framework for companies issuing stablecoins and introducing guardrails to prevent the collapse of the digital assets. The Q1 2025 earnings season is over, but several notable earnings releases are still scheduled for the next few days. These include Carnival (CCL), FedEx (FDX), TD SYNNEX (SNX), Micron (MU), General Mills (GIS), Paychex (PAYX), and Nike (NKE).
