AYO Technology Solutions' half-year results show progress despite challenges

JSE-listed black-owned ICT company AYO Technology Solutions, which has received an offer from Sekunjalo Investments to acquire all its shares, said Friday its full-year results are expected to show a meaningful reduction in losses compared to the loss reported for the first half.
AYO's results for the six months to February 28 showed a resilient performance under difficult conditions, and the company was on track with a clear path toward significantly reducing losses compared to the prior full year, its directors said Friday evening.
Revenue fell by 23% mainly due to the absence of one-time contracts from the previous year, as well as the unwinding of certain contracts that had contributed to prior-year revenue, but were not repeated.
On a positive note, the cost of sales fell 24%, in line with lower revenue. Improved inventory management and pricing strategies led to a 1.5% increase in gross profit margin, rising from 16.5% to 18%.
Operating expenses were reduced by 2%, reflecting a disciplined approach to cost control. This reduction would have been even greater if not for certain non-recurring expenses emanating from a VAT write-off of R6 million and impairment of some receivables of R13m.
Excluding these one-off costs, operating expenses showed a more substantial decline of 11%. When adjusting for these exceptional items, the operating loss improved significantly, demonstrating progress in underlying profitability. The interim dividend was passed.

Finance income decreased to R37m from R58m in the prior year, as cash reserves were utilised to support operations. The loss before tax, however, widened by 36%, largely due to higher credit losses on loans receivable and weaker performance from equity-accounted investments in the first half of the year compared to the same period last year.
'Despite these challenges, the focus on cost management and operational efficiency has positioned it for a stronger second half,' the directors said.
Revenue decreased by 23% to R78m from R1.02 billion in the prior corresponding financial period. The loss per share increased by 37% to 45.09 cents per share from 32.92 cents per share in the prior corresponding financial period.
The software and consulting services division, which focuses on providing scalable digital solutions to retailers, media groups and brand agencies in Africa and Europe, grew revenue by 21%, driven primarily by new customer acquisitions in Digital Matter.
While the division's gross profit margin saw a slight decrease from 30% to 26%, it remains strong and at a sustainable level, directors said.
The Unified Communications division, which specializes in reselling services for a range of communication technologies, including telecommunications solutions, audio and video conferencing systems, and gaming equipment from leading international brands, reported an 18% decline in revenue to R245m, with a decline in the margin due to new products being introduced into the market, as well as the increased competition created by vendors.
The division serves as a distribution partner for renowned brands such as HP Poly, Jabra, Logitech, Yealink, and Konftel, among others.
The Healthcare division, which provides ICT solutions for the healthcare industry, increased revenue by 7% to R35m. The gross profit margin decreased slightly by 4%, but the margin remained healthy.
'Maintaining a strong revenue base through our core income streams and upholding excellent service levels remain essential strategies for ongoing growth and future expansion opportunities,' AYO directors said.
The Managed Services division, which delivers network infrastructure, support services, and integrated solutions, reported revenue falling to R477.78m from R665m, mostly due to a decline in Zaloserv revenue after several one-off contracts with government departments had not yet been replaced by similar-value agreements.
The Managed Services division pre-tax profit came to R6.38m, well up from the R16.82m loss reported on August 31, 2024, at the end of the previous financial year.

Saul already has shares in the group. Dis-Chem was founded in 1978 and listed on the Johannesburg Stock Exchange (JSE) in 2016. 'The transaction will not affect the liquidity of the company's shares traded on the JSE.' Who owns the company? Ivan stepped down as CEO in 2023 after 45 years, succeeded by Rui Morais, who had previously served as the company's CFO. PHP ups bid for Assura to £1. 79bn in recommended takeover deal

Image: Independent Media Primary Health Properties (PHP) on Monday raised its offer for a leading UK healthcare real estate investment trust Assura to around £1.79 billion (R43bn), securing backing from Assura's board and paving the way for the creation of a major UK-listed healthcare real estate investment trust (REIT). Under the revised terms, Assura shareholders will receive 0.3865 new PHP shares and 12.5 pence in cash for each Assura share. They will also receive a special dividend of 0.84 pence, bringing the total implied value to 53.3 pence per share based on PHP's closing price on June 20. Including previously declared dividends, the offer rises to 55 pence per share. The increased offer represents a 5.8% premium over a rival bid from Sana BidCom a consortium led by private equity firms KKR and Stonepeak, which had proposed 50.42 pence per Assura share in cash. Shares in PHP, which are secondary listed on the JSE, fell 5% in morning trade on Monday to R24.70, while Assura, which is also secondary listed on the JSE, shares soared 4.95% to R12.29. PHP Chair Harry Hyman said, "The PHP board continues to believe in the strong strategic rationale of the combination, which will create a leading healthcare focused listed REIT with the scale and expertise to deliver significant benefits for the shareholders in PHP and Assura. The increased PHP offer, which is expected to deliver earnings accretion to both sets of shareholders, allows Assura shareholders to participate in significant upside compared to crystalising value in cash at an inflexion point in the current economic cycle, and benefit from the combined group's likely long-term rating, continuing capital growth and a growing dividend." Assura chair Ed Smith said the board had decided to recommend the increased PHP offer after the suitor addressed earlier concerns around financing and disposal plans. 'The Assura Board has always been and will remain resolutely focused on carrying out its fiduciary duties,' he said. The revised offer follows PHP's original bid announced in May and reflects additional discussions between the two companies, including a planned joint venture for Assura's private hospital portfolio and progress on refinancing arrangements. In making its decision, Assura said it also examined the risks flagged earlier in June and held further talks with PHP over its financial structure and asset disposal strategy. PHP has since reassured the Assura board that it is in advanced talks with credible investors to form a joint venture around Assura's private hospital portfolio and committed to carrying out any disposals in a value-maximising timeline. Beyond the financial reassurances, Assura said the tie-up offers shareholders the opportunity to remain invested in a stronger, more liquid REIT with a £6bn portfolio and better long-term growth prospects. The board believes the deal will be earnings accretive in the first full year and noted the higher premium to both Assura's undisturbed share price and the rival consortium's offer. With the increased PHP offer also offering immediate value through a cash component and a special dividend, Assura said shareholders will have both near-term liquidity and long-term upside. As a result, the board has withdrawn support for the earlier bid from a KKR-Stonepeak-led consortium and urged investors to take no action on that offer. PHP is funding the cash portion of the offer through a £1.225pm facility arranged by Citibank, Lloyds and RBS. A revised offer document will be sent to Assura shareholders in the coming days. Prosus reports maiden annual profit, lifts dividend 100% under new strategy
Dutch technology investor Prosus reported a maiden annual profit for the year to March 31, 2025 after almost a full year of implementing a new strategy that marks a shift from it being an investment holding company, into a full operating group. The strategy that Bloisi started implementing in July last year, shortly after his appointment, entailed a move away from being mainly an investment holding company toward building large-scale lifestyle platforms across sectors like food delivery, classifieds, fintech, and edtech. The strong results meant the dividend was raised 100% to €0.20. Shareholders also benefited from $50 billion in share buybacks through the year that drove 15% growth in net asset value per share. Adjusted earnings before interest and tax (EBIT) increased to $179 million versus a loss of $118m last year. 'Prosus is rapidly transforming into an operating technology company, focused on lifestyle ecommerce, and powered by innovation and collaboration. I'm confident our enhanced culture and ecosystem approach, powered by Prosus, will fuel our journey to create the next $100 billion in value,' Bloisi said on Monday morning in a statement. Ecommerce profitability meaningfully to $443m from $38m, ahead of the group's guidance. 'We expect this momentum to continue and to add at least the same level of incremental EBIT in the 2026 financial year.
