Prosus reports maiden annual profit, lifts dividend 100% under new strategy

Dutch technology investor Prosus reported a maiden annual profit for the year to March 31, 2025 after almost a full year of implementing a new strategy that marks a shift from it being an investment holding company, into a full operating group.

Amsterdam and JSE-listed technology group and Naspers subsidiary Prosus reported a maiden profit, a year after the appointment of CEO Fabricio Bloisi, who put the group on a new strategy.
The strategy that Bloisi started implementing in July last year, shortly after his appointment, entailed a move away from being mainly an investment holding company toward building large-scale lifestyle platforms across sectors like food delivery, classifieds, fintech, and edtech. The strong results meant the dividend was raised 100% to €0.20.
Shareholders also benefited from $50 billion in share buybacks through the year that drove 15% growth in net asset value per share. Adjusted earnings before interest and tax (EBIT) increased to $179 million versus a loss of $118m last year.
'Prosus is rapidly transforming into an operating technology company, focused on lifestyle ecommerce, and powered by innovation and collaboration. I'm confident our enhanced culture and ecosystem approach, powered by Prosus, will fuel our journey to create the next $100 billion in value,' Bloisi said on Monday morning in a statement.
Ecommerce profitability meaningfully to $443m from $38m, ahead of the group's guidance.
'We expect this momentum to continue and to add at least the same level of incremental EBIT in the 2026 financial year. The 2025 financial year marks the first year that Prosus is free cash flow positive, excluding the Tencent dividend, with a free cash flow improvement of $513m,' said CFO Nico Marais.

Over the past year, Prosus did two significant deals to strengthen its regional ecosystems. The acquisition of Despegar was completed in May 2025, and its products were being integrated into iFood's Clube membership. Bloisi also mentioned that good progress was being made on the Just Eat Takeaway.com acquisition to create a new 'AI-powered tech champion in Europe.'

Gryphon Asset Management research analyst Kasparus Treurnicht said the results indicated a timely focus on operations and EBIT growth given the increasingly tough operating environment, He said the higher share price on Monday, considering the small decline in share price of Prosus' biggest earnings contributor Tencent, which is based in China, indicated that shareholders were happy with the e-commerce results. He said Prosus may provide further details about its future plans for its stake in Tencent at a Capital Markets Day on Wednesday, May 25. Image: Supplied Harmony Gold is set to meet its production, grade, and cost guidance for its financial year to June 30, 2025, the 10th consecutive year of meeting its targets, the company said in an update to its shareholders via the JSE on Monday. It had been 'another landmark year underpinned by exceptional operating free cash flows, improved recovered grades whilst advancing our copper-gold growth strategy,' CEO Beyers Nel said in the update. As the financial year drew to a close, total production was expected to be in line with guidance of between 1.4 million to 1.5 million ounces, while all-in-sustaining costs would be between the guided range of R1 020 000/kg to R1 100 000/kg. Underground recovered grades would be higher than the guided 6g/t, while capital expenditure would be slightly below the guided R10.8 billion. The group said the positive performance was made possible through an embedded approach to sustainability, disciplined capital allocation, and consistent, predictable production underpinned by "operational excellence". Nel said they had a firm grip on costs, which were predominantly rand-based and comprised mainly labor, consumables, and electricity. He said they continue to benefit from the high rand per kilogram gold price. Highlights during the year included meeting or beating all guidance metrics. The JSE share price reached a record high in April 2025. A record interim dividend payout of R1.4 billion was paid. In addition, the potential R18.4bn acquisition of MAC Copper in New South Wales, Australia, was announced, which, pending conclusion in the second half, was expected to bring over 40 000 tons of annual copper production and contribute immediately towards free cash flow generation. Phase 1 of the Mine Waste Solutions extension project was delivered on time and on budget. Looking ahead, Nel said they would continue to allocate most of their project capital to higher-grade, higher-quality, and lower-risk assets. This included the extensions at Hidden Valley, Moab Khotsong, and Mponeng. The Eva Copper project's feasibility study was being finalised. Companies that disclosed gender pay were: Anglo American (UK only); Anglo American Platinum; British American Tobacco; Clicks; Discovery; Gold Fields; Impala Holdings; Investec plc, Investec ltd, MTN, Nepi Rockcastle and Vodacom. Despite making up 46% of South Africa's economically active population, women earn on average 30% less than men, and South Africa's largest listed companies appear to be doing little to change that. Just Share said even among these, transparency is inconsistent and often limited to international operations where disclosure is mandatory. Fourteen companies offer only vague commitments to 'fair pay', while 13 fail to mention gender pay at all. International compliance While the JSE's Sustainability Disclosure Guidance acknowledges the importance of this issue, recommending that companies report the "ratio of the total annual remuneration of women to men, and by race group, for each employee category, by significant location of operations", disclosure is currently not enforced. This guidance aligns with international reporting standards and reflects growing investor expectations around transparency and accountability. By contrast, several international jurisdictions, including Australia and the UK in which several JSE-listed companies operate, have established legislative frameworks to enhance gender pay transparency. In the United Kingdom, the Equality Act 2010 (Gender Pay Gap Information Regulations 2017) mandates that employers with 250 or more employees must annually publish their mean and median gender pay gaps. Employers are also required to report gender distributions across pay quartiles and disclose disparities in bonus payments. Similarly, Australia's Workplace Gender Equality Amendment (Closing the Gender Pay Gap) Act 2023 requires employers to report both average and median remuneration differences between men and women. Additionally, organisations must outline the specific measures they have implemented to address and reduce these disparities. However, for JSE Top 40 companies with a presence in the EU, the forthcoming EU Pay Transparency Directive will introduce comprehensive requirements including gender pay gap analysis and disclosures, mandatory audits, and employee access to pay data. Member states must transpose this directive into national legislation by June 2026. Pay equity as a critical lever "Pay equity is a critical lever for addressing the deep-rooted inequalities that continue to shape South Africa's labour market and broader society. While there has been notable progress in women's economic and political participation, formal employment, and educational attainment, the gender pay gap remains a persistent and systemic issue," Just Share said. Just Share said not only is the gender pay gap a significant barrier to achieving gender equity, but evidence shows that it persists despite growing recognition that a comprehensive approach to pay equity can enhance employee engagement and strengthen overall human capital management. Fair and transparent pay practices also signal an inclusive workplace culture, help close diversity gaps, and enhance long-term organisational competitiveness. To meaningfully address the gender pay gap, Just Share said organisations must begin by measuring and disclosing it. Transparency is the first step toward accountability and reform. However, public disclosure of gender pay data in South Africa is voluntary. The Companies Amendment Act of 2024 mandates the disclosure of vertical wage gaps, the pay gap between a company's highest- and lowest-paid employees, but not gender-based wage disparities. "This leaves a glaring accountability gap, particularly as several JSE-listed companies already comply with mandatory gender pay reporting in jurisdictions like the UK and Australia, yet choose not to do so in South Africa. This omission contributes to the inconsistent and non-comparable nature of pay equity data across companies," it said. Just Share recommends: Employers have a responsibility to proactively identify and address gender -based pay disparities within their organisations. Conducting regular internal gender pay gap analyses should not be viewed as a strategic imperative that supports inclusive, sustainable business growth. The Companies Amendment Act should be further revised under the duty to prepare a remuneration report to require the disclosure of gender pay gaps, aligning with global best practices. Institutional investors should publicly endorse best-practice on pay transparency, and include gender pay gap disclosure as a priority engagement topic with investee companies.
