Bharti Space to invest $36 million in French satellite major Eutelsat

As part of a plan to refinance debt and expand its upcoming constellation of satellites, French satellite major Eutelsat Communications will raise €1.35 billion, or $1.55 billion, through a reserved capital increase and a rights issue, the company announced on Friday. Bharti Enterprises' space venture, Bharti Space Ltd, will invest €31.4 million, or $36 million, in the capital raise. In 2023, Bharti Enterprises-backed satellite communications company OneWeb had merged with Eutelsat to become the second-largest satellite operator globally, with 669 satellites in orbit. The reserved capital increase, valued at €716 million, will see new shares issued at €4 each — a 32 per cent premium over the recent 30-day volume-weighted average price, said Eutelsat, which is a key rival of Elon Musk's Starlink. The Agence des Participations de l'État (APE), or State Participations Agency, responsible for managing the French state's shareholdings in companies of strategic importance, will subscribe €526.4 million of this. Shipping giant CMA CGM and Le Fonds Stratégique de Participations (FSP), an investment fund owned by seven France-based insurance firms, will also invest €100.4 million and €57.8 million respectively. A separate rights issue of €634 million will also be subscribed by these investors. Apart from supporting a dedicated debt refinancing plan, this capital increase will reinforce the company's financial flexibility by accelerating deleveraging and supporting investment in its existing Low Earth Orbit (LEO) capabilities and the future IRIS² constellation. "By strengthening the capital of Eutelsat, the only European player in low-orbit constellations, France is ensuring its strategic independence and preparing that of Europe," French President Emmanuel Macron tweeted on Friday. Positioned as the only European operator with a fully operational Geostationary Orbit (GEO)–Low Earth Orbit (LEO) network, Eutelsat plays a pivotal role in military and secure communications. The global satellite connectivity market is expected to grow by 12 per cent per annum between 2025 and 2029. The global LEO B2B connectivity market is currently valued at over $2.1 billion and is expected to grow at a 28 per cent compounded annual growth rate through 2029, multiplying its current size fivefold over the next eight years — offering significant short to long-term growth potential. For FY 2025–26, revenues are expected to align with the previous year, while LEO revenues are projected to grow by 50 per cent year-on-year. Gross capital expenditure for FY 2025–26 is estimated at €1.0–1.1 billion, primarily directed towards LEO expansion, including procurement of new satellites and preparation for the IRIS² constellation deployment from FY 2027–28 onward. The Department of Telecommunications (DoT) has already granted OneWeb, Reliance Jio's satellite arm Jio Space Limited, and Starlink the necessary licences to offer satellite-based broadband services in India.

Eutelsat shares surge on deal with French armed forces

Shares in French satellite operator Eutelsat shot 10% higher on Thursday after it said it had signed a 10-year deal with the French government to provide connectivity for the country's armed forces. Under the €1 billion ($1.15 billion) agreement, the French military will have priority access to OneWeb satellites as well as operational and security maintenance, the company said in a statement late Wednesday. The deal also covers the upgrading of satellites for military-grade use, it said. Eutelsat shares climbed as much as 21% in early trade before paring some gains by late morning. Eutelsat has garnered unprecedented attention this year from European governments looking for alternatives to SpaceX's Starlink for internet connectivity. There is a "real appetite" for sovereignty across the industry, CEO Jean-Francois Fallacher said at the Paris Air Show this week, according to an Eutelsat post on X. France's Ministry of the Armed Forces said in a statement that the agreement was part of a programme to strengthen its space communications by supplementing its Syracuse military satellites which are in higher geostationary orbit with a constellation of satellites in low Earth orbit (LEO). "While not entirely unexpected, the deal is a clear positive for Eutelsat, reaffirming the growing strategic relevance of LEO and the EU's push for sovereign satellite capabilities independent of foreign players like Starlink," said Alessandro Cuglietta, analyst at Kepler Cheuvreux. The French ministry also said the deal underlines the importance and strategic nature of Europe's IRIS² programme, which is an EU-backed satellite constellation due to launch in 2030. The deal will also shore up Eutelsat's finances as it works on raising funds for a second generation of its LEO satellites and to fulfil its commitments to the IRIS² project. It needs more than three times the satellites than previously thought, requiring up to €2.2 billion in financing. ($1 = €0.8721)

Eutelsat shares popped on Friday morning, after the European satellite operator announced a 1.35 billion euro ($1.55 billion) capital raise backed by the French state and other investors. The company's stock was up 14% at 09:17 a.m. London time. The company said that, along with a debt refinancing plan, the capital increase would support its investment in its existing Low Earth Orbit (LEO) capabilities, which are focused on business-to-business and business-to-government operations. Eutelsat shares have been hugely volatile this year, experiencing an enormous spike in March on expectations that it could be a European alternative to Elon Musk's Starlink, and subsequently cooling. "As the only European operator with a fully operational LEO network, Eutelsat is positioned to play a strategic role in supporting critical sectors such as military communications, cyber-resilience, and secure government connectivity, fully aligned with European Union and NATO objectives for strategic autonomy," it said in the release. Other investors, including the U.K., "could join the capital raise in due course," it added. Writing on X, French President Emmanuel Macron said that by strengthening Eutelsat's position France was "ensuring its strategic independence and paving the way for Europe's" and noted he would discuss the decision at the Paris Air Show on Friday.

The French State via the APE, Bharti Space Limited, CMA CGM, and FSP (together the "Reserved Capital Increase Investors") have entered into commitments to subscribe to the Reserved Capital Increase and the Rights Issue pro-rata their shareholding post the Reserved Capital Increase. Such commitments are subject to, inter alia, shareholders' approvals at an Extraordinary Shareholders' Meeting to be held around the end of the third quarter of calendar 2025, customary regulatory approvals, as well as the execution, under mutually acceptable conditions, of an amended, non-concerting shareholders' agreement reflecting the ownership structure post Reserved Capital Increase. The capital increase has been unanimously approved by the Eutelsat Board members present or represented. Subject to the above, the Reserved Capital Increase Investors have also committed to vote in favor of the transaction at the extraordinary shareholders' meeting (which would implement the governance5 changes in connection with the Reserved Capital Increase and during which the Company will also request new authorisations for the Rights Issue) and to maintain their share ownership until the launch of the Rights Issue. The Reserved Capital Increase and the Rights Issue are expected to be completed by the end of calendar 2025 at the latest. The Reserved Capital Increase would be subscribed by the French State via APE for €526.4 million, Bharti Space Limited for €31.4 million, CMA CGM for €100.4 million, and FSP for €57.8 million. Discussions are ongoing with other interested investors, including His Majesty's Government6, which could join the capital raise in due course. Following the two transactions, and subject to participation from investors, the French State would hold a stake of 29.99% of the capital and voting rights, while Bharti Space Limited, CMA CGM and FSP would respectively hold 18.70%, 7.81% and 5.22% of the share capital and voting rights, being specified that the Reserved Capital Increase Investors would not be in a position to launch a public takeover. Financial outlook: solid growth and an industry-leading margin Eutelsat demonstrates some of the most attractive growth and profitability prospects in the sector, with revenue expected to range between €1.5 and €1.7 billion by the end of FY'2028–297, supported by the strong momentum of LEO revenues, which are significantly outperforming the market. Operating leverage is expected to drive mid-to-high-single-digit percentage point improvements in EBITDA margin8, resulting in a margin of at least 60% by FY'2028-29. In the longer-term (post FY'2028-29), B2B connectivity market is expected to pursue its growth at a double-digit rate, mostly driven by LEO market expansion. For FY'2025-269, Eutelsat targets revenues in line with, and an adjusted EBITDA margin slightly below, those of FY'2024-25, notably due to the impact of Russian sanctions in the Video Business. Benefitting from commercial momentum, LEO revenues are expected to grow by 50% year-on-year. Eutelsat confirms its objectives for FY'2024-25, to be published on 5th August, of Operating Vertical Revenues around the same level as FY'2023-24 and an adjusted EBITDA margin slightly below the level of FY'2023-24. Gross capital expenditure is expected in a range of €500-600 million. Gross capital expenditures are expected to reach approximately €1.0 to €1.1 billion in fiscal year 2025–26, reflecting the timing of key milestones— including the order of an initial batch of 100 additional satellites starting in December 2024, as well as the procurement of 340 more satellites for the current LEO constellation. From 2025–26 onwards, gross capex will be focused on LEO activities, in line with the Group's strategic vision, primarily for the Gen-1 follow-on program (with a total envelope of €2 billion between 2024–25 and 2028–29). Gross capex will also be deployed for GEO operations to ensure service a gross capital expenditure envelope of around €2 billion will be allocated to the deployment of IRIS2, for the essential starting from 2027–28 onwards.
