Audax Private Equity's Origins Strategy Completes Thermogenics Exit

BOSTON & SAN FRANCISCO--(BUSINESS WIRE)--Audax Private Equity ('Audax'), a capital partner for middle and lower-middle market companies, announced today that it has completed the sale of Thermogenics, a provider of industrial and commercial boiler service and maintenance across North America. Morgan Stanley Capital Partners ('MSCP') acquired Thermogenics as part of a new investment in the company that closed on June 10, 2025. Terms of the deal are not disclosed.

Based in Aurora, Ontario, and with over 250 employees, Thermogenics is a provider of boiler lifecycle solutions to a diverse set of commercial and industrial customers. Under Audax' ownership, Thermogenics expanded its executive team and added key roles to facilitate growth; upgraded and enhanced its IT infrastructure, including the implementation of a new ERP system; and completed and integrated six acquisitions that expanded the company's geographic footprint in the U.S., while enhancing its service offering. During the hold, Thermogenics' top- and bottom-line performance more than doubled.
The investment in Thermogenics was made through Audax' debut Origins Fund, announced in 2023, which closed above target with $965 million, inclusive of GP co-investment vehicles, to deploy across the North American lower middle market.

CFO Gregory Lovins explained that higher rebate and incentive payments, not inventory shifts, drove the increase, and that price surcharges and sourcing adjustments would help offset tariff costs. Jeffrey Zekauskas (JPMorgan) questioned the rationale for accelerated share buybacks amid limited visibility. Lovins replied that the buybacks were opportunistic, triggered by share price declines and in line with the company's longstanding capital allocation discipline. George Staphos (Bank of America) asked about the company's capacity to accommodate sourcing shifts out of China and the stability of logistics exposure. BMO has agreed to acquire Toronto-headquartered Burgundy Asset Management for approximately C$625m ($456.2m) The acquisition aims to enhance BMO Wealth Management's offerings in the Canadian Investment Counsel space, targeting high-net-worth and ultra-high-net-worth clients. Burgundy, an independent wealth manager, managed around C$27bn in assets as of 31 May 2025. The deal consideration of C$625m will be paid in BMO common shares, with a $125m holdback contingent on Burgundy maintaining certain assets under management 18 months post-closing. It also includes an earn-out element, depending on the fulfilment of future growth targets. The deal is slated for completion by the end of 2025, contingent on regulatory approvals and other standard closing conditions. Upon completion, Burgundy will operate under BMO Wealth Management, remaining under the leadership of its existing CEO, Robert Sankey. Co-founders Tony Arrell and Richard Rooney will continue their roles within the organisation. Established in 1990, Burgundy employs 150 staff members and caters to clients from its offices in Toronto, Vancouver, and Montreal. KMS Capital, Origin Merchant Partners, and PJT Partners were financial advisors to Burgundy, while Torys provided legal counsel.
