Gold Reserve Announces Submission of Revised Topping Bid by Dalinar Energy for CITGO Parent Company

PEMBROKE, Bermuda — Gold Reserve Ltd. (TSX.V: GRZ) (OTCQX: GDRZF) (' Gold Reserve ' or the 'Company') announces that today its Delaware subsidiary, Dalinar Energy Corporation (' Dalinar Energy '), submitted a revised topping bid to be selected as the Final Recommended Bid for the purchase of the shares of PDV Holding, Inc. (' PDVH '), the indirect parent company of CITGO Petroleum Corp., pursuant to the sales process being conducted by the U.S. District Court for the District of Delaware (the ' Court '). Dalinar Energy submitted an initial topping bid on June 3, 2025 as announced here.

Dalinar Energy looks forward to continuing to work with the Special Master appointed by the Court to operate the sale process, and Dalinar Energy may further revise its bid prior to Special Master submitting his final recommendation to the Court on July 2, 2025.

Dalinar Energy's revised bid is supported by a consortium that, as with its prior bids, includes judgment creditors senior to Gold Reserve in the Court's priority waterfall — Rusoro Mining Ltd., Koch Minerals Sarl and Koch Nitrogen International Sarl.
Dalinar Energy's revised bid relies on a combination of equity and debt financing. The revised bid is supported by a lending consortium that includes three leading financial institutions, which fully supported the revised bid by providing final debt commitment papers indicating 100% commitment.

The revised bid, if approved by the Court, and consummated, would satisfy, in cash or non-cash consideration, the attached judgments of all waterfall creditors senior to Gold Reserve. The revised bid also would satisfy a substantial percentage of Gold Reserve's attached judgment.

Terms of the revised bid will remain confidential until the Special Master appointed to operate the sale process reviews all bids and makes his final recommendation to the Court. The Court is scheduled to hold a sale hearing starting on August 18, 2025, and in connection therewith rule on any objections to the Special Master's final recommendation.

Consummation of the revised bid, if selected and approved by the court, is subject to closing conditions and regulatory approvals, including but not limited to approval by the U.S. Department of Treasury' s Office of Foreign Assets Control (' OFAC ').

Vanguard Growth Index Fund The Vanguard Growth Index Fund is a great, growth-focused ETF you can add to your portfolio. It charges an expense ratio of only 0.04%, which means you don't have to worry about high fees chipping away at your gains. What's attractive about this fund is that it focuses on large-cap growth stocks. These are the types of investments that can drive long-run returns for your portfolio and make the most of your money. Stocks such as Tesla, Amazon, and Nvidia are all among its top-10 holdings. These are leaders within their respective industries, and their businesses are synonymous with growth. With more than 160 stocks in total, this is a well-diversified ETF to simply buy and hold. It also yields around 0.5%. Over the past decade, the ETF has achieved total returns (which include dividend payments) of approximately 327%. That averages out to a compound annual growth rate (CAGR) of 15.6%. But for the sake of being conservative, let's assume that its returns will slow down given how hot the market has been in the past few years and how it's reaching record levels. If the ETF averages a return of about 10% for the very long haul (which is in line with the S&P 500 's long-term average), then a $300 per-month investment could grow to more than $1 million after a period of 34 years. This would require investing in the ETF every month during that time frame. But by doing so, you can put yourself on a path to producing some fantastic returns thanks to the effects of compounding. Vanguard Information Technology Index Fund As terrific of a growth investment as the Vanguard Growth Index Fund has been in recent years, it still falls well short of the gains the Vanguard Information Technology Index Fund has produced during that stretch. At 543%, its 10-year total returns average out to an annual gain of 20.5%. That's a mind-boggling return, and it highlights just how impressive the stocks within this ETF have been. There will be some overlap between this fund and the growth ETF, but the big difference is there is heavier exposure to big tech. Nvidia, Microsoft, and Apple account for a combined 45% of the Vanguard Information Technology ETF's total holdings, but they make up just around 32% of the growth ETF. That difference can be substantial over time, especially given how well a massive stock like Nvidia has performed. In 10 years, its returns have been truly exceptional, totaling 28,000%. Given Nvidia's size today as one of the most valuable companies in the world, odds are its returns will be far more modest over the next decade. While they may still be great, it's probably a good idea to factor in a healthy dose of conservatism with this ETF as well given how much of a boost Nvidia has given it in the past. Even though the ETF is focused on tech and growth, averaging 20% annual returns likely isn't going to be sustainable over the very long haul. The expectation of a 10% return may also be prudent with this ETF to ensure your expectations aren't set too high for future gains. As with the growth ETF, if you invest $300 per month into this fund, you can also be on the path to a $1 million portfolio. If this ETF continues to outperform the market, however, then it may take less than 34 years to get to $1 million. But by staying the course and investing regularly into this or the growth ETF, you can be in a good position for building up a solid portfolio over the long haul. The Vanguard Information Technology ETF charges an expense ratio of 0.09%, and while that's a bit higher than the growth ETF's fees, they aren't going to drastically alter your prospects for generating potentially life-changing returns from regularly investing in this fund. SoftBank pitches US$1 trillion Arizona AI hub, Bloomberg News reports
SoftBank Group founder Masayoshi Son is envisaging setting up a US$1 trillion industrial complex in Arizona that will build robots and artificial intelligence, Bloomberg News reported on Friday, citing people familiar with the matter. Son is seeking to team up with Taiwan Semiconductor Manufacturing Co (TSMC) for the project, which is aimed at bringing back high-end tech manufacturing to the U.S. and to create a version of China's vast manufacturing hub of Shenzhen, the report said. SoftBank officials have spoken with U.S. federal and state government officials to discuss possible tax breaks for companies building factories or otherwise investing in the industrial park, including talks with U.S. Secretary of Commerce Howard Lutnick, the report said. SoftBank is keen to have TSMC involved in the project, codenamed Project Crystal Land, but it is not clear in what capacity, the report said. It is also not clear the Taiwanese company would be interested, it said. TSMC is already building chipmaking factories in the U.S. with a planned investment of $165 billion. Son is also sounding out interest among tech companies including Samsung Electronics, the report said. The plans are preliminary and feasibility depends on support from the Trump administration and state officials, it said. A commitment of $1 trillion would be double that of the $500 billion 'Stargate' project which seeks to build out data center capacity across the U.S., with funding from SoftBank, OpenAI and Oracle. SoftBank and TSMC declined to comment. The White House and U.S. Department of Commerce did not immediately respond to requests for comment. The proposed scheme follows a series of big investment announcements SoftBank has made this year. In March it announced it would acquire U.S. semiconductor design company Ampere for $6.5 billion and in April said it would underwrite up to $40 billion of new investment in OpenAI, of which up to $10 billion would be syndicated to other investors. This week SoftBank raised $4.8 billion from a sale of shares in T-Mobile TMUS.O.

Chevron Is Following ExxonMobil by Entering the Lithium Sector
Oil giants Chevron (NYSE: CVX) and ExxonMobil (NYSE: XOM) can read the writing on the wall: They can see that fossil fuels will eventually go extinct. That's leading these energy giants to invest in expanding into lower-carbon energy. One area both oil stocks are expanding into is lithium, a key ingredient for making batteries for electric vehicles (EVs). Exxon entered the sector in 2023 by acquiring land in Arkansas' Smackover Formation, which is rich in lithium brine. Chevron is now following in Exxon's footsteps by acquiring land in the region to produce lithium. Where to invest $1,000 right now? Continue » Drilling for lithium Chevron has signed two deals to buy leasehold acreage related to the Smackover Formation. It's buying 125,000 net acres across Northeast Texas and Southwest Arkansas from two sellers. The energy company noted that the Smackover Formation underneath this land has high lithium content. The land acquisitions mark Chevron's first step toward establishing a commercial-scale U.S. lithium business. The energy company would utilize a direct lithium extraction (DLE) process to develop the acreage. DLE is a set of advanced technologies that extract lithium from brines produced from subsurface formations like the Smackover. While Chevron doesn't have experience producing lithium, the DLE process would enable the company to leverage its subsurface, drilling, and resource extraction capabilities and strengths. That makes lithium production a strong strategic fit for oil companies like Chevron and Exxon. Following Exxon's blueprint Chevron's move into the Smackover follows Exxon's prior entry into the lithium supply sector. In 2023, the oil giant reportedly paid around $100 million for more than 120,000 total acres in Arkansas above the Smackover Formation. Exxon drilled its first well in the region that year and aims to begin commercially producing lithium by 2027. It set a bold goal of producing enough lithium by 2030 to supply the auto industry with the metal to meet the manufacturing needs of over 1 million EVs per year. That would make it one of the world's top producers in a very short period. Exxon has already started signing lithium supply deals with potential customers for its branded product, Mobil Lithium. Last year, it inked a nonbinding agreement with battery parts maker LG Chem to potentially supply 100,000 metric tons of lithium carbonate over several years. LG Chem would use it at its cathode plant in Tennessee, which it expects to complete this year. The oil giant is also looking into other potential lithium projects worldwide. It's reportedly working with oilfield services giant SLB on potential lithium investment opportunities in Chile. An all-of-the-above approach Energy giants Chevron and Exxon are taking methodical approaches to the transition to lower-carbon energy. Both companies continue investing heavily in oil and gas to meet the world's near-term needs for fossil fuels. For example, Exxon is investing $140 billion in major projects and in developing the Permian basin through 2030. This investment level will add 1.2 million oil-equivalent barrels per day (BOE/d) to its output, which it expects will reach 5.4 million BOE/d by 2030. However, the energy companies are also steadily ramping up their investments in lower-carbon energy. They're taking a broad approach by investing in industries adjacent to the fossil fuel sector, such as hydrogen, biofuels, carbon capture and storage, and lithium. Exxon aims to invest up to $30 billion into lower carbon energy opportunities through 2030, while Chevron is currently allocating about 10% of its $15 billion annual capex budget to lower carbon energy opportunities. The oil companies want to methodically build profitable lower-carbon energy businesses that generate high investment returns to complement their oil and gas operations.
