ISS and Glass Lewis Endorse Parkland's Value-Enhancing Arrangement with Sunoco

CALGARY, AB, June 16, 2025 /CNW/ - Parkland Corporation ("Parkland", "we", "our", or the "Company") (TSX: PKI) is pleased to announce that leading independent proxy advisory firms Institutional Shareholder Services Inc. ("ISS") and Glass, Lewis & Co. ("Glass Lewis") are recommending shareholders vote FOR the proposed arrangement (the "Arrangement") with Sunoco LP ("Sunoco") at the upcoming Annual and Special Meeting of Shareholders (the "Meeting"). Both firms highlighted the strategic and financial merits of the Arrangement as the basis for their recommendations.
ISS noted that "when viewed in proper context, there are compelling reasons to believe that this deal is the best path forward for shareholders." Among the reasons cited were the offer premium, flexible consideration (subject to pro-ration), the absence of competing proposals, support from Parkland's largest shareholder, and the opportunity for shareholders to participate in future upside potential of the combined entity. 1
Glass Lewis emphasized the compelling fit and enhanced diversification, scale and optionality of the combined platform. Further, the firm specifically cited the advantages of the C-corp holding structure and improved capital markets access for the combined company. 1
In addition to the endorsements from ISS and Glass Lewis, the Arrangement has been supported by fairness opinions provided to Parkland's Board of Directors by each of Goldman Sachs Canada Inc. and BofA Securities, Inc., and to the independent Special Committee of the Board of Directors by BMO Nesbitt Burns Inc. Parkland's Special Committee and Board of Directors have unanimously recommended shareholders vote FOR the Arrangement.
Voting and Meeting Details
To ensure your vote is counted, shareholders must submit their votes by Friday, June 20, 2025, at 9:00 a.m. (Calgary Time). Parkland encourages shareholders to vote today to avoid missing this deadline.
In addition to voting on the proposed Arrangement with Sunoco, shareholders will be asked to consider several important matters at the Meeting, including the election of the Company's Board of Directors, the appointment of Parkland's auditor, an advisory, non-binding vote on Parkland's approach to executive compensation, and to receive Parkland's audited financial statements for 2024. These matters received overwhelming support from ISS and Glass Lewis.
The Meeting will be held on June 24, 2025, at 9:00 a.m. (Calgary Time) at the Calgary TELUS Convention Centre in Calgary, Alberta.

Rovina Valley is one of the world's largest undeveloped copper-gold deposits, and the second-largest in all of Europe, housing an estimated 7 million ounces of gold and 233,000 tons of copper. According to Friday's news release, Trafigura will assist with the syndication of a consortium to provide Euro Sun with up to US$200 million in additional debt upon Rovina Valley reaching the construction phase. A separate binding offtake agreement with Trafigura provides up to 100 per cent of commercial production for 7-9 years, subject to minimum agreed upon tonnages. The parties will now work towards a definitive agreement, subject to the satisfaction of Trafigura's ongoing due diligence. An initial US$2.5 million tranche is expected to become available in mid-to-late June 2025. Euro Sun Mining stock has added more than 44 per cent since Rovina Valley was recognized as a strategic asset by the European Union. Competition Bureau reaches deal with Canadian Natural Resources over gas processing

OTTAWA – The Competition Bureau says Canadian Natural Resources Ltd. has agreed to sell 75 per cent of its interest in its Seiu Lake natural gas processing plant to address competition concerns related to its proposed acquisition of Schlumberger N.V.'s (SLB) interest in the Palliser Block joint venture. Under a consent agreement with the regulator, Canadian Natural will sell a majority interest in the plant to North 40 Resources Inc., an oil and natural gas exploration company operating in the area. Financial terms of the agreement were not immediately available. North 40 will be the operator of the plant, while Canadian Natural will hold a non-operating 25 per cent interest in the facility. The SLB assets being acquired by Canadian Natural include SLB's 87.5 per cent stake in 16 natural gas processing plants in southeastern Alberta. The Competition Bureau had raised concerns the deal would reduce competition for gas processing services in the region. Strathcona defends unsolicited takeover offer for oilsands peer MEG Energy

CALGARY – Strathcona Resources Ltd. says MEG Energy Corp. has made errors and misleading statements in its justifications for rejecting its unsolicited takeover bid. Last month, Strathcona made a cash-and-stock offer to buy all of the MEG shares it does not already own, and MEG shares have consistently been trading higher than the implied offer price. Earlier this week, MEG urged shareholders to reject the bid, in part because it says combining with Strathcona would expose shareholders to inferior assets and capital market risk. Strathcona has published a new presentation taking aim at the 'Fact vs. Fiction' in MEG's director's circular outlining its rationale for opposing the offer. In the presentation, Strathcona says its oilsands assets are comparable to or sometimes better than MEG's. It adds that Waterous Energy Fund, led by Strathcona executive chairman Adam Waterous, has no intention of selling its stake in Strathcona post-takeover, which MEG contends is a risk.
