Sun TV Network defends promoter Kalanithi, says all legal obligations met
New Delhi, Jun 20 (PTI) A day after reports emerged of former Union minister Dayanidhi Maran accusing his brother of "fraudulent practices" and "misgovernance", the elder sibling Kalanithi-run Sun TV on Friday said the division between the promoter family done 22 years back was in compliance with all legal obligations.
Defending its promoter Kalanithi, Sun TV Network in a regulatory filing said the agreements between the two brothers had been "duly vetted" by "intermediaries" concerned before the company's public issue.
According to reports, Dayanidhi has sent a legal notice to his brother and several others, accusing them of "fraudulent practices" and "misgovernance" in taking control of Sun TV after their father Murasoli Maran's death in 2003.
Dayanidhi, who is also a Lok Sabha member from the Dravida Munnetra Kazhagam (DMK), has sought to restore the company's shareholding structure to its pre-September 2003 status.
The board of Sun TV Network is led by Kalanithi as Executive Director and Chairperson. His daughter Kavya Kalanithi Maran is also on the south-based broadcaster board.
Kalanithi, as a promoter, owns 75 per cent shareholding in Sun TV Network.
On Friday, Sun TV Network, in its regulatory filing said, "The alleged matter dates back to 22 years when the company was a closely held private limited company."
Defending the promoter, it further stated, "Statements allegedly made in the articles are incorrect, misleading, speculating, defamatory and not supported by facts or law".
"We wish to inform that all acts have been done in accordance with legal obligations and the same had been duly vetted by concerned intermediaries before the public issue of the company," it said.
Moreover, Sun TV Network also said the media reports claiming a rift between the promoter Maran brothers "does not have any bearing on the business of the company or its day-to-day functioning".
Sun TV Network also clarified that it is a "family matter of the promoter" and is "purely personal in nature".
Besides Kalanithi, financial institutions, including mutual funds and insurance companies, own 10.46 per cent of the shareholding of Sun TV and 6.87 per cent by the foreign portfolio investors.
Chennai-based Sun TV Network is among India's leading media conglomerates, having 37 television channels in seven languages, with a reach of more than 140 million households in India.
Besides, it also owns Sun Direct, a DTH (direct-to-home) platform and operates 69 FM radio stations under the brand names -- Suryan FM, RED FM and Magic FM. It also operates three daily newspapers and six magazines.
In addition, Sun TV Network owns the Sunrisers Hyderabad franchise of the Indian Premier League and Sunrisers Eastern Cape of Cricket South Africa's T20 League.
For the 2024-25 financial year, the network's total consolidated income was ₹ 4,712.60 crore, down 1.55 per cent. Its profit after tax was down 11.53 per cent to ₹ 1,703.64 crore, against ₹ 1,925.80 crore a year earlier.

RAMAT GAN, Israel: Aziza Melech felt her body relax for the first time in days when she settled onto her inflatable mattress in an underground station of Israel's light rail system on a recent evening. For the next few hours, at least, the 34-year-old event planner wouldn't need to run every time a siren warning of Iranian missiles sounded. Since the war began a week ago with Israel's airstrikes on Iran, families with young kids, foreign workers, and young professionals have brought mattresses and sleeping bags, snacks and pets into the stations each evening. Repeatedly running for shelter On Wednesday night, in a station that straddles Tel Aviv and neighboring Ramat Gan, parents settled in their kids with stuffed animals, while young people fired up tablets loaded with movies. Many walked in carrying boxes of pizza. Workers set out snacks and coffee. It was Melech's first night sleeping in the brightly lit train station, and she was joined by her friend Sonia Shraibmen. Vizag traffic advisory for International Yoga Day: PM Modi to attend event, drones banned
Prime Minister Narendra Modi will attend a massive International Yoga Day event in Visakhapatnam, Andhra Pradesh, on Saturday. As the stage is set for the grand programme, the Visakhapatnam City Police has imposed traffic and drone restrictions, reported PTI. According to the police, around 5 lakh people are expected to participate in the International Yoga Day celebrations. The event is being organised in a 26-km-long corridor from RK Beach to Bhogapuram in the port city of Visakhapatnam. Chief Minister N Chandrababu Naidu has said the event, scheduled from 6:30 am to 8:00 am, will be organised to get recognition and set records, including a Guinness World Record. City Police Commissioner Sanka Batra Bagchi said elaborate arrangements have been made to ensure the smooth conduct of the event. Bagchi said, as quoted by ANI, "Five lakh people will participate in the World Yoga Day celebration. We are making arrangements accordingly." He added that the police enforced vehicle movement restrictions on key routes, especially near the Beach Road area, from June 20 afternoon till the evening of June 21. "There are traffic restrictions in Visakhapatnam from today till the evening of the 21st. There will be restrictions on the movement of vehicles on Beach Road from NTR Circle to Park Hotel," the commissioner said. Bagchi advised residents to use alternative routes. He said, "City residents should use alternative routes on Beach Road. There will be restrictions on the movement of vehicles from Park Hotel to Bhimili Beach." 1) Restrictions are imposed on the movement of vehicles from Park Hotel to Bhimili Beach. 2) Buses coming from Vizianagaram for the celebration should come towards Boyapalem. 3) Buses coming from the Alluri district for the celebration should come from Vepagunta. 4) Heavy vehicles from Srikakulam should not come towards Thagarapu Valasa-Anandapuram as they will be barred. From Anakapalle to Anandapuram, the heavy vehicles will have to go towards Srikakulam. 5) As many as 9,500 personnel will be deployed to maintain order during the large-scale event. 6) Use of drones in specific zones has been banned from 20 to 21 June. The ban applied within a 5-kilometre radius of sensitive locations, including INS Chola, Andhra University grounds, Kali Mata temple, and INS Kalinga. The 11th International Yoga Day, celebrated by several countries worldwide, has been themed 'Yoga for One Earth, One Health'.
