SES S.A. today announced the successful launch and pricing of a dual-tranche note offering in which the company has agreed to sell senior unsecured fixed rate notes under its €5,500,000,000 EMTN Programme (the 'Notes'). Settlement is expected to take place on 24 June 2025:

EUR 500 million of Notes will bear a coupon of 4.125% due in 2030.
EUR 500 million of Notes will bear a coupon of 4.875% due in 2033.

SES is rated Baa3, negative outlook by Moody's and BBB, negative outlook by Fitch.

SES shall apply the net proceeds of the Notes towards its general corporate purposes, including, without limitation (i) financing all or part of the purchase price of the acquisition of Intelsat Holdings S.A. ('Intelsat' and Intelsat and its subsidiaries being the 'Intelsat Group') (the 'Acquisition') (including the payment of fees, costs and expenses in relation to the Acquisition) and/or (ii) refinancing existing indebtedness of the Group and/or (following closing of the Acquisition) the Intelsat Group.

Promptly following the Issue Date, SES intends to cancel the bridge facility in relation to the Acquisition in an amount at least equal to the net proceeds of the Notes.

SES also announces that, to further optimise the debt structure of the combined entity following the Acquisition, it intends to redeem (in aggregate) up to US$ 3 billion of the 6.500% First Lien Senior Secured Notes due 2030 issued by Intelsat Jackson Holdings SA ('SSNs') on, and conditional upon, closing of the Acquisition and settlement of the Notes. This will be achieved by the redemption of part or all of the SSNs in accordance with the optional redemption provisions governing the SSNs. Additionally, SES may from time to time conduct open market purchases of the SSNs.

Deutsche Bank and Morgan Stanley acted as Global Coordinators and Joint Bookrunners, together with Goldman Sachs International, ING, J.P. Morgan, Société Générale as Joint Bookrunners. The settlement is scheduled for 24 June 2025 and application has been made for the Notes to be listed on the Luxembourg Stock Exchange. The securities were placed with a broad range of institutional investors across Europe and Americas region.

The successful, pricing of €1 billion dual-tranche bond offering, provides SES enhanced financial flexibility which in combination with an existing strong balance sheet gives SES sufficient liquidity to cover upcoming maturities. This reflects SES's disciplined financial policy and commitment to investment grade metrics and sets the combined company on a strong footing for long-term balance sheet strength.

This would violate Article 5 of the UK's Groceries Supply Code of Practice, which says that retailers must pay suppliers 'within a reasonable time' after receiving their invoice. If Amazon is found to have breached the code, it could face a fine of up to 1% of its annual grocery turnover in the UK. After reviewing more evidence, the regulator decided to launch a formal investigation focused specifically on Amazon's compliance with the payment timing rule. The GCA is responsible for making sure large grocery retailers treat their suppliers fairly, and this move suggests Amazon hasn't done enough to address previous concerns. While Amazon's grocery operations are smaller in the UK than in other markets, they are still significant. Estimates suggest that Amazon has between 1.6% and 3% of the UK grocery market, compared to Tesco's 29%. Amazon doesn't break out UK grocery sales in its earnings reports, but the Competition and Markets Authority requires companies with over £1 billion in UK grocery turnover to follow the Groceries Code, which implies that Amazon exceeds that threshold. Alphabet (NASDAQ: GOOG)(NASDAQ: GOOGL) stock didn't finish the trading week on a high note. The Google parent company's two listed shares both sank by nearly 4% in price that day, thanks in no small part to a development on the regulatory front. Those declines were notably more pronounced than the S&P 500 index's 0.2% slip on the day. An unappealing request? Alphabet's key business unit Google is on the hook to pay a 4.1 billion euro ($4.7 billion) fine to the European Union (EU), after it ruled in 2018 that the company actively stifled search engine competition with its Android mobile operating system. The tech giant has, not surprisingly, appealed that fine. That appeal is now pending at the highest court in the EU, the Court of Justice of the European Union (CJEU). In what has to be considered a setback for Google/Alphabet, the CJEU's advocate-general -- the court's top advisory official -- recommended that Google's appeal be dismissed. In her recommendation, Juliane Kokott said that "Google held a dominant position in several markets of the Android-ecosystem and thus benefited from network effects that enabled it to ensure that users used Google Search." Although Kokott's recommendations are non-binding, CJEU justices typically accept and follow the advice of the court's advocate-general. Alphabet has not yet publicly commented on this latest development in its appeal. One break was enough Alphabet did get something of a break with the fine, as it was cut slightly from the original amount of over 4.3 billion euros ($4.9 billion) to the 4.1 billion euros currently hanging over it. The company, sprawling and powerful as it is, can easily afford the fine in the likely case its appeal fails.
