Air India crisis: Chandra skips Tata Consumer AGM

skipped the company's annual shareholder meeting on Wednesday due to exigencies. Non-executive director P B Balaji presided over the meeting in his stead.
Regulations permit another director to lead the meeting when the board chairman is unavailable.
Chandrasekaran's absence was due to his focus on
Air India
matters following the crash of London-bound flight 171 in Ahmedabad last week, which resulted in over 270 fatalities.
At the meeting, company secretary Delnaz Dara Harda said, "The chairman of the board, N Chandrasekaran, will not be able to attend the AGM due to some exigencies." Tata Consumer initiated the annual general meeting sequence among major Tata Group companies, with
TCS
scheduled for Thursday and
Tata Motors
for Friday.
It remains to be seen whether Chandrasekaran, who is also the chairman of both these companies, will chair the AGMs.
According to a lawyer, if the chairman is not present within 15 minutes after the time appointed for holding the meeting, or if he is unwilling to act as chairman of the meeting, the directors present can elect a chairman among themselves.
Chandrasekaran has been in Gurugram-Delhi, engaging with Air India personnel, holding discussions with civil aviation minister Ram Mohan Naidu and aviation secretary Samir Kumar Sinha; and addressing various airline-related matters. His office also sought time with DGCA chief Faiz Ahmed Kidwai.
During the AGM, Balaji, who is also the CFO of Tata Motors, acknowledged the challenging period for the Tata group.

New Delhi: Air India on Sunday announced that it will temporarily reduce 118 weekly flights operated with narrow-body aircraft across 19 routes and suspend operations on three routes. The decision follows closely on the heels of a previous announcement by the Tata Group-owned airline to cut international flights operated with wide-body aircraft by 15 per cent on a temporary basis. In a formal statement, the airline said it was implementing 'temporary cuts of less than 5 per cent to its overall narrow-body network.''This voluntary decision leads to the temporary suspension of Air India's services on 3 routes and reduction of frequency on 19 routes. The changes are effective until at least 15 July 2025,' it weekly flights on the Bengaluru-Singapore, Pune-Singapore, and Mumbai-Bagdogra (AI551/552) routes will be suspended until at least mid-July. Additionally, flight frequencies on several key domestic routes—including Delhi-Bengaluru and Delhi-Mumbai—will be reduced as part of the operational adjustments.

I-banks to pitch for ₹25,000 crore SBI QIP this week

State Bank of India (SBI) has invited pitches from investment banks to help it raise ₹25,000 crore through a qualified institutional placement (QIP), two people aware of the matter said. 'The investment banks will make their presentations this week," one of the persons cited above said. The board of India's largest bank had approved the fund-raising on 3 May, its second QIP since FY18 when it raised ₹18,000 crore. A QIP is a quicker way than rights issue or follow-on offer for a listed company to raise capital by selling shares or convertible securities to institutional buyers. On Friday, SBI shares closed 1.29% higher at ₹795.25, in line with the benchmark Nifty index that closed at 25,112.40. SBI's market capitalization stood at ₹7.09 trillion, the highest among state-run companies. Queries emailed to SBI remained unanswered. The selected bankers will be designated book-running lead managers, along with SBI subsidiary SBI Capital Markets Ltd. After its QIP in FY18, there were reports that banks were advising SBI on a ₹15,000-18,000 crore QIP in FY20; however, the lender did not eventually raise these funds. 'This time around, the bank seems to be serious in its efforts to raise capital. Given the depth of the capital markets here, they want to take advantage of it and raise money. ₹25,000 crore is huge, but I think there will be enough institutional demand for this," the second person cited above said. Apart from SBI, public sector banks including Indian Overseas Bank, Bank of Maharashtra, Central Bank of India, Punjab & Sind Bank, and Uco Bank are pursuing QIPs, Mint reported on 2 April. In 2024, QIP fundraising across sectors hit an all-time high, with 99 issues raising ₹1,41,482 crore. Chairman C.S. Setty told analysts on 3 May that every year, the bank takes an enabling resolution to balance 'growth requirements and also the need for augmenting the CET 1 (common equity tier one) capital". 'So, we do not need immediately in terms of the CRAR (capital adequacy ratio) requirement for credit growth. But we still feel that if there is an opportunity to raise equity capital, we will definitely access the market," said Setty, adding that the timing was uncertain as it wants the 'right value". 'While we cannot time the market absolutely, we will look for an opportune moment and we always, in the beginning of the year, take an enabling resolution so that we have ample time to plan our equity raising if needed…" SBI's capital adequacy ratio stood at 14.25% as on 31 March, down three basis points (bps) from the same period last year, but was 122 bps higher than end-December. Although this was higher than the minimum regulatory requirement of 12.1%, India's largest bank lags peers in capital buffers. Private sector lender HDFC Bank has a capital adequacy ratio of 19.6%, while state-owned peer Bank of Baroda has 17.19%. The bank reported a 10% drop in profit to ₹18,643 crore for the three months through March on the back of higher provisions. After remaining muted for the first few months, capital market activity picked up pace beginning May. As per news reports, around 28 bulk and block deals were executed in May, compared with just seven in April on BSE. In the broader market, 274 bulk and block deals happened in NSE 500 companies, compared to 128 in April, data from Trendlyne shows. 'Other segments, including IPOs and QIPs, have been slower over the last few months due to the correction in the market. If there is an upward movement and stability demonstrated, all equity capital market categories may eventually see upward traction," Birbahadur Sachar, partner, JSA Advocates & Solicitors, told Mint last month. Mumbai: Standard Chartered Bank is scouting for partners to explore green lending to small businesses in India, having started a similar pilot project in Singapore, a senior official said. Xie Wen, global head of SME (small and medium enterprise) banking at the British bank said in an interview that the lender has green deposits and structured products, and is contemplating starting green financing products as well. This, she said, requires a partner that can help them track the usage of such green loans as well as the carbon footprint. 'For ESG, there are a few areas you can look at and you either track the purpose. (Whether) every loan is going to environmental (initiatives or not). That tracking of the purpose is important,' said Wen. 'In India, we're exploring. We're looking for such data providers where you could do that.' Having joined Standard Chartered Bank in 1997, Wen has held leadership roles in risk management and business development across markets and regions. Prior to her current role, she has worked as the country chief risk officer for Singapore, China, and country head of commercial banking in China, among others. 'For transition financing, you need to track carbon footprint,' said Wen. While such data is easily available for large companies, it is not so for small businesses, she said. Green lending refers to financial products and services that encourage eco-friendly projects. Financial services that support borrowers to align business and operations in line with the objectives of the international climate change treaty are referred to as transition finance, as per the United Nations. Meanwhile, public and private financial institutions have a critical role to play in financing the SME green transition, as per global policy forum Organisation for Economic Co-operation and Development or OECD. Globally, the London-headquartered bank has total green assets of $17.39 billion as of September 2024, in themes like clean transportation, energy efficiency, green buildings, and renewable energy, besides others. Meanwhile, the bank is focused on growing its SME business in India. In fact, Mint reported in October that following the recent sale of its personal loan business to Kotak Mahindra Bank, the lender is now looking to 'double down' on affluent banking, SME loans, and wealth management. The bank currently has about 27,000 SME customers in India, as per the Mint report. Wen said that Standard Chartered Bank has SME businesses in 18 markets, with its full suite of services available in eight of these. India, she said, is among the top three markets for small businesses, with Hong Kong and Singapore being the other two. 'You have different strengths and different focuses (for different markets). It is more because of the market itself. But in terms of asset growth, financing growth, India has been the top market,' said Wen. On the broader ESG—environmental, social, and governance—awareness among smaller clients in India, Wen said there has been progress and will improve over time. She said that as long as more industry players are focusing on it, ESG awareness will increase. 'As I mentioned, there's a first step to increase awareness. We have a simplified questionnaire when we actually onboard clients, SME clients. The idea, through the questionnaire, is to educate the SMEs about ESG requirements,' said Wen. India's small businesses — micro, small and medium enterprises (MSMEs) — employ a large number of people. As per government data released in February, 59.3 million registered MSMEs provide employment to over 250 million. In 2023-24, MSME-related products accounted for 45.7% of India's total exports, as compared to 43.6% in FY23, and 45% in FY22. To be sure, the government has introduced a scheme to allow small businesses access discounted finance from institutions to adopt green technologies. The MSME ministry in December 2023 launched MSME Green Investment Financing for Transformation (MSE - GIFT) scheme.
