
Spruce Biosciences Announces Conditional Nasdaq Approval to Resume Trading on the Nasdaq Capital Market
SOUTH SAN FRANCISCO, Calif.--(BUSINESS WIRE)--Spruce Biosciences, Inc. (OTC: SPRB) ('Spruce'), a late-stage biopharmaceutical company focused on developing and commercializing novel therapies for neurological disorders with significant unmet medical need, announced that it has received approval from The Nasdaq Stock Market LLC ('Nasdaq') to resume trading of its common stock on the Nasdaq Capital Market subject to Spruce regaining compliance with Nasdaq's minimum bid price requirement on or before August 5, 2025.
'We are pleased by Nasdaq's decision to lift its trading suspension and resume trading of our common stock on or before August 5, 2025, subject to our compliance with the minimum bid price requirement,' said Samir Gharib, President and Chief Financial Officer of Spruce. 'We are diligently working to regain compliance with the minimum bid price requirement by seeking stockholder approval to effect a reverse stock split of our common stock at our upcoming 2025 Annual Meeting of Stockholders. We strongly encourage all stockholders entitled to vote at the 2025 Annual Meeting of Stockholders to vote in favor of the reverse stock split proposal (Proposal No. 3).'
The Board of Directors of Spruce believes that the approval of Proposal No. 3 regarding the reverse stock split is in the best interests of Spruce and its stockholders for the following reasons:
regaining compliance with Nasdaq's minimum bid price requirement ensures that the company's common stock can resume trading on the Nasdaq Capital Market;
a higher stock price may generate investor interest in the company, enable potential future financing activity and help the company attract and retain employees;
some institutional investors have policies prohibiting them from holding lower-priced stocks in their portfolios, which reduces the number of potential purchasers of the company's common stock;
brokerage firms may be reluctant to recommend lower-priced securities to their clients and investors may be discouraged from purchasing lower priced stocks because the brokerage commissions, as a percentage of the total transaction, tend to be higher for such stocks; and
since analysts at many brokerage firms do not monitor the trading activity or otherwise provide coverage of lower priced stocks, many investment funds are reluctant to invest in lower priced stocks.
Spruce encourages all stockholders of record on May 30, 2025 who have not yet voted to do so by 11:59 p.m. Eastern Time on July 21, 2025.

Axiom Intelligence Acquisition Corp 1 Announces Completion of $200 Million Initial Public Offering
New York, New York, June 20, 2025 (GLOBE NEWSWIRE) -- Axiom Intelligence Acquisition Corp 1 (NASDAQ:AXINU) (the 'Company') today announced the closing of its initial public offering of 20,000,000 units, which includes 2,500,000 units sold pursuant to the partial exercise of the underwriters' over-allotment option. The offering was priced at $10.00 per unit, resulting in gross proceeds of $200,000,000. The Company's units commenced trading on the Nasdaq Global Market ('Nasdaq') under the symbol 'AXINU' on June 18, 2025. Digital Turbine stock saw a massive post-earnings rally on Tuesday, but its share price slipped as the week progressed. Investors took profits on the stock today, and geopolitical risk factors also worked to push its share price lower. The adtech specialist's share price closed out the daily session down 14.6% amid a 0.3% decline for the S&P 500 index and a 0.6% decline for the Nasdaq Composite index. Following an explosive post-earnings rally for the stock earlier this week, investors sold shares and moved to take profits. In addition to profit-taking action, Digital Turbine stock moved lower due to new restrictions on technology exports and fears that the conflict between Israel and Iran could continue to escalate. Digital Turbine stock had actually been up as much as 1.8% in today's trading, but action on the stock turned bearish as investors reacted to risk factors and took profits on gains posted earlier in the week. The company's share price skyrocketed in Tuesday's trading after it posted better-than-expected quarterly results and forward guidance, but its share price has moved lower in subsequent trading. In addition to profit-taking activities, Digital Turbine stock was pressured by geopolitical dynamics today. The Wall Street Journal published a report today stating that the Trump administration wants to further strengthen export restrictions and prevent companies including Samsung, Taiwan Semiconductor Manufacturing, and SK Hynix from shipping chipmaking technologies to their factories in China. Adding another bearish catalyst, investors moved out of stocks due to the possibility that military strikes between Israel and Iran will intensify and that the U.S. could enter the conflict on behalf of Israel. For the current fiscal year, Digital Turbine is guiding for revenue between $515 million and $525 million -- good for annual growth of roughly 6% at the midpoint of the target range. Meanwhile, non-GAAP (adjusted) earnings before interest, taxes, depreciation, and amortization (EBITDA) are projected to be between $85 million and $90 million -- representing growth of 21% at the midpoint of the guidance range. Digital Turbine's performance outlook became significantly stronger following its quarterly release earlier this week, but there are factors that could cause continued volatility for the stock.
