SAN DIEGO--(BUSINESS WIRE)-- Robbins Geller Rudman & Dowd LLP announces that purchasers or acquirers of Compass Diversified Holdings (NYSE: CODI) publicly traded securities between May 1, 2024 and May 7, 2025, inclusive (the 'Class Period'), have until July 8, 2025 to seek appointment as lead plaintiff of the Compass Diversified class action lawsuit. Captioned Augenbaum v. Compass Diversified Holdings, No. 25-cv-01003 (C.D. Cal.), the Compass Diversified class action lawsuit charges Compass Diversified Holdings, Compass Group Diversified Holdings LLC, Compass Group Management LLC, and certain of Compass Diversified's top current and former executives with violations of the Securities Exchange Act of 1934.

CASE ALLEGATIONS: On September 7, 2021, Compass Diversified announced the acquisition of a majority interest in Lugano Holdings, Inc., a designer, manufacturer, and marketer of high-end jewelry, in a deal with an enterprise value of $256 million (excluding working capital and certain other adjustments upon closing).
The Compass Diversified class action lawsuit alleges that defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that: (i) Lugano had violated applicable accounting rules and acceptable industry practices with respect to its financing, accounting, and inventory practices during Compass Diversified fiscal 2024; (ii) Lugano's 2024 financial results had been artificially distorted by these irregularities; (iii) Compass Diversified had failed to implement effective internal controls over Compass Diversified's financial reporting; and (iv) as a result, Compass Diversified's reported 2024 financial results did not reflect the actual financial results of Compass Diversified and such reported results were materially misstated.
On May 7, 2025 Compass Diversified issued a press release titled 'Compass Diversified Discloses Non-Reliance on Financial Statements for Fiscal 2024 Amid an Ongoing Internal Investigation into its Subsidiary, Lugano Holding, Inc.' revealing that Compass Diversified 'has preliminarily identified irregularities in Lugano's non-CODI financing, accounting, and inventory practices. After discussing with senior leadership and investigators, the Audit Committee of CODI's Board has concluded that the previously issued financial statements for 2024 require restatement and should no longer be relied upon.' Compass Diversified's release also announced that Compass Diversified intended to delay the filing of its first quarter 2025 Form 10-Q. On this news, the price of Compass Diversified's stock fell more than 62%.

But higher costs ate into the bottom line, leading the company to report earnings per share that fell short of Wall Street expectations. Revenue, including the product of acquisitions, grew by 6% year over year, and organic revenue was up 4.4%. FactSet grew its annual subscription value (ASV) by 6%, including the result of acquisitions, to $2.4 billion, and annual ASV retention was greater than 95%. As a percentage of clients, annual retention was 91%. Although costs were higher, much of the added expense can be attributed to timing issues and one-time items. GAAP operating margin fell to 33.2% from 36.6%, which the company attributed to the lapping of both a lower bonus accrual and a one-time payroll tax adjustment, as well as added salaries due to recent acquisitions. FactSet continues to return cash to shareholders. In May, the company announced a 6% increase to its quarterly dividend. It is the 26th consecutive yearly dividend increase. The company also repurchased $80.7 million worth of its shares in the quarter. Over the last decade, FactSet has reduced its share count by more than 8%. The company said its board approved a new $400 million repurchase authorization beginning on Sept. 1. The report was largely more of the same, and investors reacted accordingly. FactSet shares initially fell about 3% in premarket trading, continuing a trend that has seen the stock fall 12% so far in 2025. FactSet reaffirmed its full-year guidance, and CEO Phil Snow said the company has "a healthy pipeline and increased momentum." We are in the final three months of the company's fiscal year, so clarity should be strong. There is also change on the horizon. In early June, FactSet said Snow would be stepping down in September. He will be replaced by Sanoke Viswanathan, a JPMorgan Chase (NYSE: JPM) wealth management executive who was a member of Jamie Dimon's operating committee at the bank. FactSet has a well-regarded product, but its services are priced at a premium, and the total addressable market, buy-side and sell-side bankers, has not been growing. It will be up to Viswanathan to find the catalyst to get markets excited about FactSet again. 1 Massive Problem Facing Nio Investors. Is the Stock Still a Buy?

At a time when China's automotive market sales were exploding, foreign automakers were quick to enter the market and make a buck while the young and inexperienced Chinese automakers watched and learned. Fast forward to today, and the story has nearly flipped. While auto sales are still lucrative in volume, the country is embattled in a brutal price war that has eroded profits. And for competitors like Nio (NYSE: NIO), a little more bad news is on the way. If you're invested in global automakers, you've likely heard a thing or two about the situation in China. Market leader BYD continued to apply pressure in late May when it announced an aggressive pricing strategy that slashed prices as much as 34% on 22 of its electric and plug-in hybrid models until the end of June. China's price war, which has become so devastating that it's forced government officials to call executives together in an attempt to soften the impacts and avoid a race to the bottom, is likely far from over. The price war might actually be distracting investors from a deeper issue for the automotive industry, and that's overcapacity. According to data from Shanghai-based Gasgoo Automotive Research Institute, China's overall industry capacity utilization was a meager 49.5% -- leaving a massive chunk of the country's 55.5 million annual vehicle production capacity unused. Then came the words that analysts have warned about and investors have feared: The price war may have no end. "As long as you have 50 percent capacity realization, you won't be able to end the price war in a normal market," said Jochen Siebert, managing director at auto consultancy JSC Automotive, according to Automotive News. For Nio and its investors, much of its problem in China is currently out of its control. At some point many automakers in China will be forced out of business or to consolidate, leaving a much healthier industry. Until that time comes, Nio's primary focus will be on cost improvement to offset margin pressure from the price war. The good news is we've seen some tangible progress from Nio on cost cutting. In fact, during the first quarter of 2025, vehicle margin increased to 10.25% from the prior year's 9.2%. Gross profit also made a substantial 88.5% increase to $126.7 million, compared to the prior year. The price war still hurts and Nio's net loss widened during the first quarter, but more optimization is on the way. "Since the first quarter, we have implemented a range of cost control measures, including organizational restructuring, cross-brand integration, and efficiency improvements in R&D, supply chain, sales and services," added Stanley Yu Qu, NIO's chief financial officer, in a press release. "Starting from the second quarter, the Company aims to achieve structural improvements in overall cost efficiency, with continued progress in operational performance." At the end of the day, Nio is doing its best to control what it can and has made considerable improvements on costs. Now the company will have to pivot and also focus on accelerating production of its two newer brands, Onvo and Firefly, which should help drive deliveries as the year progresses. For investors, while Nio is an intriguing investment in the world's largest EV market, it might be wise to watch from the sidelines until China's overcapacity problem isn't so dire and its price war not so brutal.
