New Delhi: Securities and Exchange Board of India ( Sebi ) chairman Tuhin Kanta Pandey has met corporate affairs secretary Deepti Gaur Mukerjee to discuss ongoing investigations into Gensol Engineering , among other regulatory matters, a person aware of the development told ET.The meeting, held in the national capital on Friday, came amidst a crackdown on Gensol by the ministry and regulators, especially Sebi, over alleged fraud and corporate governance lapses.Last month, Sebi barred Gensol's promoters-brothers Anmol and Puneet Jaggi-from accessing the securities market and ordered a forensic audit of the listed renewable energy company, after an interim report of the regulator flagged fund diversion by the brothers and governance lapses.The corporate affairs ministry ( MCA ) also launched a separate probe into Gensol and 18 related entities, including EV cab service provider BluSmart Mobility . The probe is expected to be completed within 3-5 months, a senior official said last week.The Jaggi brothers have also allegedly misused term loans extended to Gensol by state-run lenders Indian Renewable Energy Development Agency (Ireda) and Power Finance Corporation (PFC).Pandey and Mukerjee are also understood to have discussed routine regulatory matters during their meeting. Queries sent to MCA and Sebi on Monday remained unanswered until the paper went to press.Following a Sebi reference, the National Financial Reporting Authority (NFRA) has launched a preliminary enquiry into Gensol's books. The Institute of Chartered Accountants of India (ICAI), too, is reviewing the FY24 financial statements and statutory audit reports of Gensol and BluSmart.Sebi started examining the matter after receiving a complaint in June 2024 alleging manipulation of share price and diversion of funds at Gensol.Gensol's share price had scaled a peak of ₹1,126 a piece last fiscal, with a market capitalisation of around ₹4,300 crore, according to the regulator's interim report.But by April 11, 2025, days before Sebi released the interim report, the share price had crashed to ₹133, driving down the market cap to just ₹506 crore. On Monday, the shares closed at ₹65.50 apiece on the BSE, down 2% from the previous close.

Tata Capital IPO: Capital market regulator Securities and Exchange Board of India (Sebi) has approved the draft papers for the initial public offering (IPO) of Tata Capital, the non-banking financial company (NBFC) subsidiary of Tata Sons, a report said. Sebi has cleared the NBFC's draft papers for the public issue, which were filed through the confidential route, Economic Times reported, quoting two people familiar with the development. It was earlier reported that the Tata Capital IPO DRHP was filed through the confidential route with the regulator on April 5. With Sebi clearing the DRHP, the proposed ₹ 17,200-crore Tata Capital IPO moves a step closer to launch. Following Sebi's approval, Tata Capital is expected to file an updated draft prospectus publicly on the regulator's website before submitting the final red herring prospectus (RHP) ahead of the IPO launch. The newspaper report also suggests the company could file the RHP in the first week of July. Tata Capital IPO is poised to be one of the largest public issues in India's financial services sector. Tata Capital IPO will comprise a combination of a fresh issue of shares and an offer for sale (OFS) by Tata Sons, which currently holds a 93% stake in the NBFC. Tata Group is targeting a valuation of up to $11 billion for its financial services division, Tata Capital, which may become India's largest IPO this year, Bloomberg in its recent report report. As per the Reserve Bank of India's (RBI) framework, both Tata Sons and Tata Capital are classified as 'upper-layer' NBFCs, requiring them to list by September 2025. This classification entails stricter regulatory oversight and a mandatory public listing within three years. This meeting wasn't just a quarterly update — it was a full-body reset on many longstanding regulatory frameworks, aimed at easing compliance burdens, deepening market access , and aligning Indian capital markets with global meeting also marked a strategic recalibration of SEBI's regulatory posture. It demonstrated a commitment to reducing compliance friction while safeguarding core market integrity. In doing so, SEBI is responding to the evolving expectations of a maturing market, one that now hosts retail participation at scale, large institutional flows, digitised securities infrastructure, and increased cross-border also gave its green light to a streamlined disclosure regime for Qualified Institutions Placements. The lengthy and often duplicative disclosure requirements will give way to concise, issue-specific and material risk disclosures, leveraging publicly available data. Companies will no longer need to reproduce financials already present in the public domain, making capital-raising quicker and more new-age tech companies decide to go public, they reach a point where they can no longer use the ESOP (Employee Stock Option Plan) benefits available to startup promoters. This was in direct response to feedback from key industry bodies like FICCI, which warned of unnecessary cost and a move intended to enhance flexibility for companies considering reverse flipping and improve investor participation, SEBI approved amendments to its ICDR Regulations. Following a consultation paper of March 2025, SEBI relaxed the one-year minimum holding period requirement for equity shares arising from the conversion of fully paid-up compulsorily convertible securities acquired under approved schemes. Investors can now offer these shares in a public issue, harmonising these provisions with the existing minimum promoters' contribution requirements.'Ease of Doing Business is not a dilution — it is a deliberate design. But it must be paired with credible safeguards, professional discipline, and investor-first thinking.'With reforms addressing Alternative Investment Funds, Real Estate and Infrastructure Investment Trusts (REITs/InvITs), Merchant Bankers, Debenture Trustees, and more, SEBI is laying down a unified, consistent, and future-compatible regulatory said, there is scope to do more. The regulator could further simplify the capital-market instruments — for example, by allowing a fast-track conversion process for Private InvITs to list as Public InvITs.
